CEOs Growing More Confident

Money Stack ImageThere is a growing confidence among Chief Executive Officers.  A report by Chief Executive magazine noted that there is another strong resurgence in May from responses by top executives.  The reading for May came in up 9% to 75.7.  There are no estimates for this number, but that is a gain of 48% from the lows seen in just February.

Loral Chairman Files To Sell Shares (LORL)

Money Stack ImageLoral Space & Communications Inc. (NASDAQ: LORL) has just filed to sell close to $300 million worth of voting and non-voting shares of common stock in an SEC filing.  The break-down is voting common stock of 954,613 shares and non-voting common stock 9,505,673 shares.  The registration is on behalf of selling shareholders, so none of the proceeds will end up in Loral’s coffers.  The selling stockholders will pay any underwriting fees, discounts or commissions and applicable transfer taxes incurred for the sale of these shares.  In this case, the selling holder(s) are related entities of Loral’s non-executive chairman.

Only One Man Can Replace Liddy At AIG (AIG)

AIG LogoAmerican International Group, Inc. (NYSE: AIG) has announced that Chairman and CEO Ed Liddy will be stepping down.  He is actually waiting for the board of directors to conclude a search for a replacement.  No one will be sorry to see Liddy leave, but it is important to understand that none of the old problems of AIG were as a result of Liddy’s actions.  He was essentially a government appointee and it is a wonder as to why on earth he was even willing to take the CEO and Chairman role in the first place.  Liddy’s biggest controversy was the scandal over bonuses paid to employees following the government bailout, but he claimed this was under the government’s approval.  As far as Liddy’s actions in the company before and after that, it was generally with the government endorsement even if negative publicity was given simultaneously.

Time Warner Looks Ahead in Central European Media Investment (CETV, TWX)

(NYSE: TWX) investment closed.  It is usually hard to know if the seller or the buyer gets the better deal depending upon the market and a myriad of other factosr, but in this case it seems that Time Warner is looking ahead of the game.

Buffett & Berkshire Hathaway Q1-2009 Holdings A to F (BRK-A, AXP, BAC, BNI, KMX, KO, CMCSA, CDCO, COP, CEG, COST, ETN)

Buffett ImageWe have just gotten the Warren Buffett and Berkshire Hathaway Inc. (NYSE: BRK-A)(BRK-B) holdings for the end of Q1-2009.  The cut off date here was March 31, 2009 and there are some changes that have been seen here from the e3nd of Q4.  We have broken these down into 3 groups of ‘A to F’ and  ‘G to O’ and ‘P to Z’ so these fit on one page easier.  Here is the list ‘A ot F.’

  • American Express Co. (NYSE: AXP) over 151.6 million shares, same as  before.
  • Bank of America Corp. (NYSE: BAC) 5 million shares; same as last quarter.
  • Burlington Northern Santa Fe (NYSE: BNI) 76.77 million shares; HIGHER than 70.089 million shares of last quarter.
  • Carmax Inc. (NYSE: KMX) 12 million shares; LOWER than the 17.63 million and that is two straight quarters of declines.
  • Coca Cola (NYSE: KO) right at 200 million shares, still same as before.
  • Comcast (NASDAQ: CMCSA) 12 million shares, same as before.
  • Comdisco Holdings (NASDAQ: CDCO) roughly 1.5 million shares, same as before.
  • ConocoPhillips (NYSE: COP) is really lower than the 71.228 million reported as this has been used for cutting taxes, and we already know that the number is lower than what the filing says.
  • Constellation Energy Group (NYSE: CEG) was just updated this week so the number is actually about 12.4 million rather than what the filing shows as being 14.828 million shares.
  • Costco Wholesale (NASDAQ: COST) 5.254 million shares, same as before.
  • Eaton Corp. (NYSE: ETN) 3.2 million shares; looks like new holding but may have been missed before.

(NYSE: BRK-A)(BRK-B) holdings are now out for the cut off date here of March 31, 2009.  There are some changes from the end of Q4.  We have broken these down into 3 groups A to F, G to O, and P to Z so these fit on one page easier.  Here is the list ‘G to O.’

Boone Pickens, via his BP Capital Management, L.P.,  as of March 31, 2009.  Some of the higher stakes look to be in Chesapeake Energy Corporation (NYSE: CHK), Devon Energy Corporation (NYSE: DVN), Suncor Energy Inc. McDonald’s CEO Nets Millions In Options Gain (MCD)

Money Stack ImageMcDonald’s Corp. (NYSE: MCD) had a substantial insider sale today that may catch some eyes.  Chief Executive Officer Jim Skinner unloaded some 150,000 shares via exercised stock options.  Insider sales usually are not a red flag at a company like McDonald’s, but the size here would fit the screen for most CEO and Insider Selling searches that might merit a closer look.

Buffett & Berkshire Keep Unloading Constellation Energy (CEG, BRK-A, BRK-B)

Buffett ImageWarren Buffett isn’t hanging on to his relatively new shares of Constellation Energy Group, Inc. (NYSE: CEG).  Berkshire Hathaway Inc. (NYSE: BRK-A) (NYSE: BRK-B), via MidAmerican Energy, had been a seller of shares before after receiving about 20 million shares in the break-up or deal termination fee after Constellation decided to go with a better deal (or a different deal) from EDF from France in a joint venture rather than a merger.

Karmazin Gives Up 30 Million Share Options (SIRI)

SIRIUS LOGOSIRIUS XM RADIO INC. (NASDAQ: SIRI) submitted an SEC Filing today noting a significant forfeiture on the surface.  CEO Mel Karmazin voluntarily forfeited an aggregate of 30,000,000 non-qualified options to purchase shares of SIRIUS XM common stock.

GM Insider Sales Put Stock Into 1930’s Levels (GM)

(NYSE: GM) is trading at what looks to be the lowest levels since April or May of 1933.  There has not been fresh news from the company, but there is a key event that took place which may be a prelude to the worst case scenario.  Executives sold stock, and it looks like this may have been ALL of their shares left in the company in some of these cases.

Dendreon Insiders Unload Stock (DNDN)

money-stack-image1There was an interesting twist in the ongoing Dendreon Corp. (NASDAQ: DNDN) story that developed after 5:00 PM Friday.  There was a whole series of FORM 4 filings insider sales filings with the SEC.  While it is obvious that most of these were options being exercised and company stock grants, it was hard to not notice how many insiders sold stock.  If the insiders sold this many shares, it is very likely that other company employees sold as well.  This is probably not such a surprise when you have a company’s stock rise tenfold from the lows and when many employees become instant stock option millionaires.  But still, there is the hope that Dendreon will have a blockbuster drug for advanced prostate cancer after  (and if) PROVENGE is approved by the FDA at some point in 2010.  There are many who believe that Dendreon might even now be a takeover target.  Considering that, does it at least make you wonder if employees are taking this much money out of the stock?

Ken Lewis Gets Backing of Shareholder Activist Evelyn Davis (BAC, BLK)

b-of-a-logo2Bank of America Corporation (NYSE: BAC) just started out its annual shareholder meeting with a traditional introduction from CEO Ken Lewis.  It is no shock that he is under fire today, and we have reported many times that his job as Chairman has been under attack.  We have been listening to this webcast and there was a strange development that may actually help Lewis keep his job.  Shareholder activist Evelyn Davis, who said she has been a holder for 26 years, said that while she does have questions for the company, she gave full confidence and full support to CEO Ken Lewis at shareholder meeting.  She even said she was essentially shocked about the “Johnny Come-Latelies” who have showed up at the 11th hour to challenge management.  Evelyn Davis also said she was voting for all 18 board members today.  She even went on to attack Larry Finl, COE of BlackRock, Inc. (NYSE: BLK) for merely being an opportunist who just wants the job on a part-time basis.

Does Ken Lewis Survive At B of A Past Wednesday? (BAC, C)

b-of-a-logo1Wednesday will potentially mark the apex for the scandals and controversy surrounding Bank of America Corporation (NYSE: BAC) as far as its role in Merrill Lynch bonuses, whether Ken Lewis (and/or other managers) get to stay on, whether mergers were forced, TARP acceptance, strange acquisitions, and other controversies regarding B of A.  The company’s Annual Shareholder Meeting where investors have their one day of the year where they have a say for what goes on inside the company.  This will take place at 10:00 AM EST and the webcast landing page notes that it should last approximately two hours.  Potentially the largest question at stake is around the future of Chairman & CEO Ken Lewis.

Game-Changer For Premier Exhibitions (PRXI)

money-stack-image32Shares of Premier Exhibitions Inc. (NASDAQ: PRXI) have been higher all day on word that G. Michael Harris’ company WLM, Inc. has made two offers that total $40 million on a combined basis of $40 million to the company.  This does not look like an outright acquisition according to the press release, but it looks like a severe valuation game-change to what its exhibits would be worth.

Fertilizer Merger Wars Heating Up (TRA, CF, AGU, MOO)

money-stack-image30The president and CEO of Terra Industries Inc. (NYSE:TRA) has apparently purchased 100 shares of stock in CF Industries Holdings, Inc. (NYSE:CF) and requested CF to provide him with a list of all CF shareholders so that he can get in touch with them. CF’s CEO is not amused. In his reply, he asked why Terra’s chief appears to be more interested in communicating with stockholders than in negotiating a merger agreement with the company.
