Top Day Trader Alerts (SWHC, RGR, TTWO, BAC, MRVL, BRCM, TXN, FACT, JAVA)

Smith & Wesson Holding Corp. (NASDAQ: SWHC) is off 12% on earnings and guidance; we’d watch for added fallout in Sturm, Ruger & Co. Inc. (NYSE: RGR).

Take-Two Interactive Software (NASDAQ: TTWO) is down 20% on its warning.

Bank of America Corp. (NYSE: BAC) is trading down 1.7%, but not as much as the deal price, after increasing its capital raise.

Marvell Technology Group Ltd. (NASDAQ: MRVL) is at new 52-week highs after higher earnings and higher guidance.  We’d watch Broadcom Corporation (NASDAQ: BRCM) and Texas Instruments Inc. (NYSE: TXN) on the news.

Facet Biotech Corporation  (NASDAQ: FACT) is down slightly despite a boosted buyout offer.

Sun Microsystems, Inc. (NASDAQ: JAVA) is up over 5% on a report that the EU may be flawed and/or appeased in its block of the Oracle deal.

BioTech Hostile Takeover: Biogen Plays For Facet

Facet Biotech Corporation (FACT) confirms that it is in receipt of Biogen Idec Inc.’s (BIIB) letter dated September 4, 2009 offering $14.50 per share for all of the outstanding shares of Facet.

Facet shares rocketed 75% to $15.75 after being halted briefly. So far this year, Facet’s shares have traded as low as $6 and as high as $11, so the deal is at a significant premium.

The deal is hostile. Biogen has asked to meet with the Facet board.

Reuters reports that“Biogen Idec said the offer was lower than an initial offer of $15 per share it had made on Aug. 17 to Facet Chief Executive Officer Faheem Hasnain, followed by a letter from Biogen Idec to Hasnain and Facet’s board on Aug. 21 offering that price.”

A recent deal between Facet and Trubion Pharmaceuticals (TRBN) which Facet believed was in its best interests was not taken well by shareholders who have pushed the stock down.

Biogen and Facet are  jointly developing a drug for multiple sclerosis and a treatment for solid tumors.

Facet is low on cash and the company’s management has indicated that it may have to bring in new funds in a year.

Broadpoint Securities Registers Shares Tied To Recent Private Placement (BPSG, FACT)

Broadpoint Securities (NASDAQ: BPSS) has filed on behalf of stockholders a securities offering whereby an aggregate of 7.058 million shares of common stock for a total maximum price of $12.352 million.

The independent boutique investment bank will not receive any proceeds  from the offering.  This securities registration is tied to a private placement that Broadpoint sold to accredited investors in early March.

Broadpoint has a $127 million market cap and had recently completed some private placements of securities.  For those of you who aren’t familiar with Broadpoint, this is the one that used to First Albany Securities that used to trade as "FACT" on NASDAQ.

Its 52-week trading range is $0.99 to $1.96.  Back in 2005 this was north of $5.00 and back in 2003 and 2004 this traded north of $15.00 for a brief period of time.
