The three major US stock indexes opened a bit higher this morning, and after some volatility have managed to get to the final half hour of trading with a modest gain. Some news is leaking out about the Greek debt swap deal being done, but what’s being reported is not likely to be welcomed in by ordinary Greeks. The dollar has been down most of the day as everyone seemed to believe an announcement on the Greek debt deal was imminent. The dollar index is down -0.187% — a slight uptick from its lower level this morning — at 78.591. Crude oil is up strongly, with WTI crude up 1.15% at $99.85/barrel and Brent crude up 1.16% at $118.56/barrel. Gold settled up 0.6% at $1,741.20/ounce.

The unofficial closing bells put the DJIA up nearly 7 points to 12,890.61 (0.05%), the NASDAQ rose more than 11 points (0.39%) to 2,927.23, and the S&P 500 rose 0.15% or 2 points to 1,351.96.

There were several analyst upgrades and downgrades today, including A123 Systems, Inc. (NASDAQ: AONE) cut to ‘sell’ at Wunderlich; Expedia Inc. (NASDAQ: EXPE) cut to ‘hold’ at S&P Capital IQ; Research in Motion Ltd. (NASDAQ: RIMM) reiterated as ‘hold’ with $15 target price at Cannacord Genuity; Amgen Inc. (NASDAQ: AMGN) cut to ‘perform’ at Oppenheimer and named ‘Bull of the Day’ at Zacks; and 3M Co. (NYSE: MMM) cut to ‘hold’ at Deutsche Bank. Apple Inc. (NASDAQ: AAPL) got a lift from a target price increase to $665, which we cover here. We’ve also got a story on how Apple gets 80% of the operating profit among all the phone makers.

Earnings reports since markets closed last night have led to some price changes as of the last half hour of trading today: Cisco Systems Inc. (NASDAQ: CSCO) is down -2.1% at $20.00 (here’s our coverage); American Superconductor Corp. (NASDAQ: AMSC) is down -8.74% at $5.50; Bunge Ltd. (NYSE: BG) is up 5.9% at $63.25; Dunkin’ Brands Inc. (NASDAQ: DNKN) is down -2.35% at $28.33; Lorillard Inc. (NYSE: LO) is up 9.8% at $124.46 after posting a new 52-week high of $127.68 earlier today; Pepsico Inc. (NYSE: PEP) is down -3.6% at $64.37 (our coverage here); Philip Morris International Inc. (NYSE: PM) is up 2.8% at $80.08 after setting a new 52-week high of $80.99 earlier today; Sirius XM Radio Inc. (NASDAQ: SIRI) is nearly flat at $2.19 (additional coverage here); and Teradata Corp. (NYSE: TDC) is up 10% at $63.85 after posting a new 52-week high earlier today of $64.97.

Other standouts from today include the following stocks:

Imperial Sugar Co. (NASDAQ: IPSU) is up more than 79% at $6.02. The sugar refiner and marketer said it is nearing a sale of one of its divisions.

Trina Solar Ltd. (NYSE: TSL) is up 20% at $11.08. The solar panel maker is getting a big boost from a report that China will add about 3,000 megawatts of solar PV generation this year, although some analysts think the total will be double that. Other Chinese solar panel makers are also getting a nice bump from the news. We have another view of the sudden rise here.

Diamond Foods Inc. (NASDAQ: DMND) is down more than -36% at $23.36 after posting a new 52-week low of $21.44 earlier today. The snack food maker will re-state accounting and that jeopardizes the deal to purchase the Pringles brand from Proctor & Gamble (NYSE: PG). See our coverage here.

Groupon Inc. (NASDAQ: GRPN) is down more than -15% at $20.82. The Internet coupon company posted weak earnings last night. See our coverage here.

Taleo Corp. (NASDAQ: TLEO) is up more than 17% at $45.62 after posting a new 52-week high of $45.71. The maker of cloud-based software is being acquired by Oracle Corp. (NASDAQ: ORCL). More coverage here and here.

Ceasars Entertainment Corp. (NASDAQ: CZR) is down about -3.8% at $14.80. The share price nearly doubled at yesterday’s IPO, to a high of $17.90, but the stock is coming back to earth today.

All three major indexes opened higher this morning, but the strength didn’t last as the Chicago PMI number failed to meet expectations and came in lower even than last month’s reading. The lower reading on consumer confidence also supported sellers this morning. Nothing of note was concluded on the Greek debt swap, so that had little effect on the market one way or the other. Oil major Exxon Mobil Corp. (NYSE: XOM) reported earnings in-line with expectations, that wasn’t good enough for investors today (our coverage here). Crude oil is mixed today, with WTI crude down -0.32% at $98.46/barrel and Brent crude higher by 0.31% at $111.09/barrel. Gold closed today at $1,738.10/ounce, having gained 11% this month (our view here).

The unofficial closing bells put the DJIA down nearly 21 points to 12,632.91 (-0.16%), the NASDAQ rose nearly 2 points (0.07%) to 2,813.84, and the S&P 500 fell -0.05% or less than 1 point to 1,312.40.

There were several analyst upgrades and downgrades today, including Nike Inc. (NYSE: NKE) raised to ‘buy’ at Argus; Potash Corp. of Saskatchewan (NYSE: POT) cut to ‘neutral’ at Goldman Sachs; Tesla Motors Inc. (NASDAQ: TSLA) started as ‘buy’ at Jefferies; Amgen Inc. Rare Element Resources Ltd. (AMEX: REE) is up more than 17% at $7.22. The rare earth minerals miner is likely gaining after a ruling from the WTO that China’s restriction on rare earth minerals’ exports violates global trade rules.

FriendFinder Networks Inc. (NASDAQ: FFN) is up about 19% at $1.26. The adult social media company is likely also being bought up on the prospective Facebook IPO.

High-Premium Biotech M&A Continues (AMGN, CELG, MITI, IBB)

Thursday brought yet more merger and acquisition news in the ongoing buyout trends in the biotech sector. Amgen Inc. (NASDAQ: AMGN) announced that it is going to acquire Micromet, Inc. (NASDAQ: MITI), a cancer drug maker that is German and American. Celgene Corporation (NASDAQ: CELG) announced that it was going to acquire an outfit called Avila Therapeutics, a developer of cancer drugs.

The Micromet deal is valued at $11.00 per share. This was a 33% premium to the prior close and shares closed up 32% at $10.94. The prior 52-week range was $4.13 to $8.90. Unfortunately for M&A arbitrage players, this deal offers no real upside in an arb-spread and it seems unlikely that a higher bid is coming based upon its share price never having gone above $11.00 today. That buyout is on the heels of a deal signed last year where Amgen agreed to an upfront payment for a discovery and development deal. Amgen is indicated around $69 after turning in 3% sales growth after the close.

Avila Therapeutics is a developer of covalent drugs in cancer and this $925 million buyout from Celgene is a cash and stock deal with $350 million of the total coming in cash. This company has AVL-292 as a inhibitor now in Phase I studies. Celgene shares are around $72.65 and are also with striking distance of a 52-week high ($75.11).

It is interesting that with two deals already having been announced in the last 24-hours that the iShares Nasdaq Biotechnology (NASDAQ: IBB) ETF was down by almost 1% at $114.71 on a day when there were two deals on the heels of another large premium acquisition this week.

Equity markets opened slightly higher this morning but trailed off to negative territory in the late morning. By late afternoon, the NASDAQ composite and the S&P 500 were flirting with a positive result. Continuing talks between the Greek government and the country’s bondholders have not made any progress, and the imposition of an embargo on Iranian oil and other sanctions have been approved by the European Union. Some in Iran are making more threats to close the Strait of Hormuz, which has sent crude prices higher today. WTI crude is up 1.58% at $99.88/barrel and Brent crude is up 0.91% at $110.86/barrel. Gold has risen to $1,672.60/ounce, up 0.75% on the day.

The unofficial closing bells put the DJIA down nearly 12 points to 12,708.82 (-0.09%), the NASDAQ fell more than 2 points (-0.09%) to 2,784.17, and the S&P 500 rose 0.05% or less than 1 point to 1,316.00.

There were several analyst upgrades and downgrades today, including ConocoPhillips (NYSE: COP) cut to ‘sell’ at UBS; Sirius XM Radion Inc. (NASDAQ: SIRI) cut to ‘equal weight at Morgan Stanely; Google Inc. (NASDAQ: GOOG) reiterated as ‘buy’ with a $730 target price at Argus; Proctor & Gamble (NYSE: PG) cut to ‘hold’ at Stifel Nicolaus; and Amgen Inc. (NASDAQ: AMGN) cut to ‘neutral’ at JPMorgan.

Earnings reports since markets closed on Friday have led to some price changes as of the last half hour of trading today: Halliburton Co. (NYSE: HAL) is up XX% at $XX; Twin Disc Inc. Goodrich Petroleum Corp. (NYSE: GDP) is up more than 12% at $15.76. The natural gas producer is the biggest gainer among natural gas drillers following an announcement from Chesapeake Energy Corp. (NYSE: CHK) that it was reducing production this year.

Columbia Laboratories Inc. (NASDAQ: CBRX) is down more than -54% at $0.72 after posting a new 52-week low of $0.64 earlier today. The drug company’s progesterone vaginal gel was not approved by a committee of the US FDA.

The Standard Register Co. (NYSE: SR) is down nearly -14% at $2.18, a new 52-week low. The printing and services company announced that it would reduce its workforce by 15% and take other measures in a restructuring of the company. Layoffs would affect about 390 workers.

Rimage Corp. (NASDAQ: RIMG) is down nearly -11% at $11.77. The digital publishing provider lowered its fourth-quarter earnings and revenue forecasts.

Pharma Value Beyond The Patent Expiration Cliff (PFE, MRK, BMY, TEVA, AMGN, GSK)

The tide of patent expirations that is washing over big pharmaceutical houses is cresting now and investors have begun looking forward to how these companies will deal with some sharp blows to their revenues and profits. There are 21 drugs set to lose patent protection in 2012, and that will cost drug makers $11.5 billion in sales this year. We’ve looked at several of the larger pharmaceutical houses with a close eye on their upside potential in 2012.

The companies we’ve included are Pfizer Inc. (NYSE: PFE), Merck & Co Inc. (NYSE: MRK), Bristol-Myers Squibb Co. (NYSE: BMY), Teva Pharmaceuticals Industries Ltd. (NASDAQ: TEVA), Amgen Inc. (NASDAQ: AMGN), and GlaxoSmithKline plc (NYSE: GSK).

Pfizer Inc. (NYSE: PFE) trades around $22.00 and the 52-week range is $16.63 to $22.00. With a $168 billion market cap, this one trades at about 15-times expected earnings and 9.5-times expected 2012 earnings. Thomson Reuters has a mean price target objective of $23.76, indicating implied upside of 8%.

Merck & Co Inc. (NYSE: MRK) trades near $38 and the 52-week range is $29.47-$39.00. With a $117 billion market cap, Merck trades at about 28-times expected earnings and 10-times expected 2012 earnings. The mean price target objective is $39.85, indicating a potential upside of 4.9%.

Bristol-Myers Squibb Co. (NYSE: BMY) trades near $34 and the 52-week range is $24.97-$35.44. With a market cap of about $58 billion, this one trades at about 17-times expected earnings and 17-times forward earnings. The mean price target objective is $32.91, indicating that shares are fully valued and upside potential has gone missing.

Teva Pharmaceuticals Industries Ltd. (NASDAQ: TEVA) trades at about $44 and the 52-week range is $35.00-$57.08. With a market cap of $39 billion, Teva trades at about 13-times earnings and 8-times forward earnings. The mean price target objective is $53.15, indicating an implied upside of nearly 21%. The company has also seen gains since disclosing a new CEO.

Amgen Inc. (NASDAQ: AMGN) trades at about $66 and the 52-week range is $47.66-$65.70. With a market cap of $58 billion, this one trades at about 16-times earnings and 11-times forward earnings. The mean price target objective is $65.45, and, like Bristol-Myers, Amgen is fully valued and there is no implied gain at the current price.

GlaxoSmithKline plc (NYSE: GSK) trades at about $44 and the 52-week range is $36.28-$46.50. With a market cap of $221 billion, this one trades at about 44-times earnings and 13-times forward earnings. The mean price target objective is $49.58, indicating an implied upside of 12.7%.

Only Teva and GlaxoSmithKline have double-digit upside potential percentage gains. Of the two, Teva’s upside potential is greater, largely because it just lost a patent dispute (which pushed the share price down) and gained a new CEO, an industry veteran from Bristol-Myers (which pushed the share price back up). The downside on the company is that it is trading down about -18% over the past 12 months, the only one of these six companies to show a loss for the period.

Glaxo is preparing a regulatory filing in the US with a replacement for the company’s Adair asthma drug which loses patent protection next year. Late-stage trials have been promising, and the stock could get a nice boost if the FDA grants approval. Glaxo also received three new drug approvals from the FDA in 2011,

Tracking Dividends in Biotech: Who Follows Amgen in Payouts? (AMGN, PFE, MRK, BIIB, CELG, ALXN, CBST, PDLI, REGN, VRTX)

For several years it has been the case that Amgen Inc. (NASDAQ: AMGN) was considered a biotech though it had at least some of the same problems of Big Pharma players like Pfizer Inc. (NYSE: PFE) and Merck & Co. (NYSE: MRK). The difference is that Amgen refused for ages to pay a dividend. 2011 marked a change in its dividend policy.

Amgen’s current dividend is 2.3%, which is rather high for a biotech stock. It also should be noted that the $64.00 price is above the stock’s old former rangebound levels of $50.00 to $60.00. Pfizer currently yields 3.7%, but that is about to rise to closer to 4%, and Merck yields about 4.50% after its dividend hike.

The question for 2012 is simple: Which biotech stocks will be among the second waves to initiate paying a dividend? By our count, these are the biotech outfits that might entertain following Amgen’s dividend path: Biogen Idec Inc. (NASDAQ: BIIB), Celgene Corporation (NASDAQ: CELG), Alexion Pharmaceuticals, Inc. (NASDAQ: ALXN), Cubist Pharmaceuticals Inc. (NASDAQ: CBST), PDL BioPharma, Inc. (NASDAQ: PDLI), Regeneron Pharmaceuticals, Inc. (NASDAQ: REGN), and Vertex Pharmaceuticals Inc. (NASDAQ: VRTX).

We would have evaluated the chances of Gilead Sciences Inc. (NASDAQ: GILD) initiating a dividend, but this $11 billion proposed buyout of Pharmasset, Inc. (NASDAQ: VRUS) is likely to keep Gilead tied up for quite some time.

Alexion Pharmaceuticals, Inc. (NASDAQ: ALXN) is close to all-time highs above $70 and is now worth a whopping $13.2 billion. Estimates are $1.30 EPS for 2011 and $1.66 EPS for 2012, making this one have a much higher valuation while it is still rapidly growing. Some investors may expect that it could start paying out a dividend, but it is too soon by our take today, even with a $445 million balance of cash and liquidity with almost no long-term debt.

Biogen Idec Inc. (NASDAQ: BIIB) has estimates of $5.89 EPS in 2011 and $6.31 EPS in 2012. The company had only about $3 billion in cash and investments at the end of September versus a current market cap of about $27 billion. 2011 was the year that investors decided to give up on worrying about the very rare PML cases in TYSABRI, and that allowed Biogen shares to rise almost 60% in 2011. If Biogen decides to get off the no-dividend bandwagon soon, we would only look for an initial payout of $1.00 on an annualized basis for a while.

Celgene Corporation (NASDAQ: CELG) may still be too new of an earnings story to start expecting a dividend. The earnings estimates are $3.80 EPS in 2011 and $4.51 EPS in 2012. With almost $2.6 billion in cash and investments, its market cap is larger than Biogen’s at $30 billion.

Cubist Pharmaceuticals Inc. (NASDAQ: CBST) managed an incredible breakout year as its drugs treat hospital-borne infections, with nearly a 100% share price gain in 2011. The market cap is now about $2.45 billion, and it had nearly $1 billion in cash and liquidity before a recent $221 million acquisition versus about $450 million in long-term debt. Cubist probably could start to pay a dividend if it wants to, but the company has decided to be an acquirer rather than hoarding cash or going defensive. Chances are that it may need to hold on to its cash while it absorbs Adolor and anything else it is considering.

PDL BioPharma, Inc. (NASDAQ: PDLI) has been a dividend payer from its patent royalties, but some payments have been one-time payments until its most recent $0.15 payout for each of the past four quarters. The company also recently forecast a 5% revenue drop and investors are already braced for lower royalty payments. The company recently lost its CFO after only about three years on the job and we really do not like to see CFOs leave biohealth companies. Estimates are $1.18 EPS for 2011 and $1.38 EPS in 2012, but it has about $225 million in cash and liquidity versus a market cap of $867 million. The company may just stick with its current payout structure’s high yield as is until (or if) it can secure another large patent license.

Regeneron Pharmaceuticals, Inc. (NASDAQ: REGN) is worth some $5.1 billion or so in market capitalization and is fresh off the news that it settled with Genentech over U.S. opthalmic sales of the eye drug EYLEA with a patent case still brewing, but with Regeneron agreeing to pay out $60 million if sales reach $400 million and it will pay royalties out as well. With cash and liquidity of near $500 million at then end of September we think it is a bit premature to ask this one to start shelling out its cash to shareholders yet, considering it is still expected to have a wide loss in 2012.

Vertex Pharmaceuticals Inc. (NASDAQ: VRTX) is so far off of highs now that it seems unlikely investors are expecting much on the dividend front. The company is back on the path of growth after some changes and stumbles, and now its market cap is almost $7 billion. With this one it just feels too soon to expect any dividends in reality. We could analyze all we want, but its new revenue growth is challenged by a cash balance of just over $800 million versus $400 million in long-term debt. What is interesting is that Vertex’s $0.30 EPS expected for 2011 is expected to be $4.55 EPS in 2012. It had a loss of $3.77 EPS in 2010. Maybe after another year or so we can evaluate its future dividend strategy.

After reviewing the great biotech sector’s larger components, it sure does not sound like many other than Biogen Idec Inc. (NASDAQ: BIIB) are really new prime-time dividend candidates for 2012, other than the high payout of PDL BioPharma, Inc. (NASDAQ: PDLI).

US equity markets opened sharply higher this morning and have been able to sustain and even add to those gains throughout the day. Business and consumer confidence indexes in Europe were higher, giving an early boost to share prices. Then an unexpectedly large jump in new housing starts, especially multi-family dwellings, put an extra charge into investors. Proposed Federal Reserve rules governing big banks have had little impact on financial stocks, which are up about 4% in the late afternoon. Today’s auction of five-year Treasury went out at 0.880%, a record low yield. Crude oil is also sharply higher today, with WTI trading at $97.22/barrel, up more than 3.5%, and Brent is up 3.34% at $106.98. The US dollar has traded weaker all day today. Gold settled on the Comex up about 1.3%, at $1,616.80.

The unofficial closing bells put the DJIA up nearly 336 points to 12,101.92 (2.85%), the NASDAQ rose more than 80 points (3.19%) to 2,603.73, and the S&P 500 rose 2.98% or nearly 36 points to 1,241.22.

There were several analyst upgrades and downgrades today, including AT&T Inc. (NYSE: T) cut to ‘neutral’ at JPMorgan. Other ratings actions today include F5 Networks Inc. (NASDAQ: FFIV) cut from ‘perform’ to ‘underperform’ at Oppenheimer; Urban Outfitters Inc. (NASDAQ: URBN) raised from ‘outperform’ to ‘Top Pick’ at FBR Capital; Amgen Inc. (NASDAQ: AMGN) added to ‘Strong Buy List’ at Zacks; and Baxter International Inc. (NYSE: BAX) lowered from ‘Top Pick List’ to ‘outperform’ and target price lowered from $61 to $58 at RBC Capital Markets.

Here are today’s post-earnings news reactions with prices during the last half-hour of trading: ConAgra Foods Inc. (NYSE: CAG) is up 4% at $26.18; General Mills Inc. is down about -1% at $39.19; Navistar International Corp. (NYSE: NAV) is up nearly 7% at $39.05; Sanderson Farms Inc. (NASDAQ: SAFM) is down -4% at $48.66; and Jefferies Group Inc. (NYSE: JEF) is up more than 22% at $14.46. After markets close today we get earnings from Nike Inc. (NYSE: NKE) and Oracle Corp. Other standouts from today include the following stocks:

Targacept Inc. (NASDAQ: TRGT) is down more than -35% at $5.01, after posting a new 52-week low of $4.92 earlier in the day. The pharmaceutical maker’s anti-depressant drug, developed in conjunction with AstraZeneca plc (NYSE: AZN) has failed a late-stage trial.

Cobalt International Energy Inc. (NYSE: CIE) is up nearly 38% at $13.81. The oil & gas exploration company has signed a production-sharing agreement for a block offshore of Angola. Cobalt owns 40% of the project and is the operator.

Canadian Solar Inc. (NASDAQ: CSIQ) is up nearly 33% at $2.93. The solar panel maker has sold about 86 megawatts of generation to TransCanada Corp. (NYSE: TRP) for approximately $455 million.

Prestige Brand Holdings Inc. (NYSE: PBH) is up nearly 21% at $11.27. The drug and cleaning supplies company paid $660 million for a selection of nonprescription drugs from GlaxoSmithKline PLC (NYSE: GSK).

Hovnanian Enterprises Inc. (NYSE: HOV) is up more than 18% at $1.50. The home builder is riding the wave of good news about new housing starts.

CVS Caremark Corp. (NYSE: CVS) is up about 9% at $39.85, after posting a new 52-week high earlier of $39.86. The healthcare company raised fiscal year guidance and boosted its quarterly dividend by 30%, to $0.1625/share.

Stay tuned for Wednesday. The most widely anticipated report for tomorrow is due at 8:30 a.m. from the National Association of Realtors, which will be revising its new home sales data from 2007 forward.
