All three major US stock indexes opened higher this morning, and spent the rest of the day bouncing around the neutral line. The reports from retailers on same-store sales in January were mixed, but overall sales failed to meet expectations. Fed chairman Ben Bernanke testified in Congress today, but did not really give the market much of a push one way or the other. The IPO filing from Facebook after markets closed last night pushed some social media stocks up on a halo effect. WTI crude oil is down 1% at $96.63/barrel and Brent crude is up 0.78% at $112.43/barrel. Gold closed up 0.67% at $1,761.30/ounce.

The unofficial closing bells put the DJIA down about 11 points to 12,705.41 (-0.09%), the NASDAQ rose more than 11 points (0.4%) to 2,859.68, and the S&P 500 rose 0.11% or nearly 1.5 points to 1,325.54.

There were several analyst upgrades and downgrades today, including Dell Inc. (NASDAQ: DELL) raised to ‘overweight’ at JPMorgan; Edwards Lifesciences Corp. (NYSE: EW) cut to ‘neutral’ at Credit Suisse; AK Steel Holding Corp. (NYSE: AKS) cut to ‘underperform’ at BofA/Merrill Lynch; Steel Dynamics Inc. (NASDAQ: STLD) cut to ‘neutral’ at BofA/Merrill Lynch; and Broadcom Corp. (NASDAQ: BRCM) started as ‘buy’ at Canaccord Genuity.

Earnings reports since markets closed last night have led to some price changes as of the last half hour of trading today: Green Mountain Coffee Roasters Inc. (NASDAQ: GMCR) is up nearly 24% at $66.30; Education Management Corp. (NASDAQ: EDMC) is down -17% at $21.19; Nasdaq OMX Group Inc. (NASDAQ: NDAQ) is down -0.6% at $24.62; Qualcomm Inc. (NASDAQ: QCOM) is up 2.2% at $60.88 after posting a new 52-week high of $61.93 earlier today; Beazer Homes USA Inc. (NYSE: BZH) is up 3.2% at $3.27; Boston Scientific Corp. (NYSE: BSX) is down -3.9% at $5.85; Brinks Co. (NYSE: BCO) is down -17.5% at $24.43; Diamond Offshore Drilling Inc. (NYSE: DO) is up 0.35% at $63.29; Lear Corp. (NYSE: LEA) is down -1.2% at $42.48; Merck & Co. (NYSE: MRK) is down -0.3% at $38.51; Take-Two Interactive Software Inc. (NASDAQ: TTWO) is down -0.3% at $15.71; and Viacom Inc. (NASDAQ: VIAB) is down -0.9% at $46.53.

Other standouts from today include the following stocks:

Zynga Inc. (NASDAQ: ZNGA) is up nearly 18% at $12.49 after posting a new post-IPO high of $12.91 earlier today. The social games company got a big boost from Facebook’s IPO filing. Our coverage is here.

MediciNova Inc. (NASDAQ: MNOV) is up nearly 31% at $2.47. The company received a favorable patent notice for a multiple sclerosis treatment device.

Response Genetics Inc. (NASDAQ: RGDX) is up more than 27% at $1.50. The drug maker announced the private placement of about 5.3 million shares at $1.50/share, about 28% higher than last night’s closing price.

BioScrip Inc. (NASDAQ: BIOS) is up more than 15% at $6.73. The pharmacy services provider has sold a portion of its assets to Walgreen Co. (NYSE: WAG) for $225 million.

Ur-Energy Inc. (AMEX: URG) is down more than -13% at $1.22. The uranium miner has issued 1.5 million shares of new stock to agents who will attempt to sell at CDN$1.00.

Demand for gold as a safe haven has driven demand for more places to store that gold. And it’s getting harder more difficult to find that storage, resulting in a boom of sorts in the vault business. Small investors pay up to 1% of the value of their holdings for the opportunity to store gold, while hedge funds and ETFs may pay about 0.4%, according to a report from Bloomberg.

Mega-banks, too, are building more storage space for gold. Barclays Capital, a subsidiary of Barclays PLC (NYSE: BCS), Deutsche Bank AG (NYSE: DB), J.P. Morgan Chase & Co. (NYSE: JPM), and Brinks Co. (NYSE: BCO) are all building new or expanded secure storage to hold all that yellow metal.

Adding to the demand for gold, of course, are the ETFs that purchase bullion: the SPDR Gold Trust (NYSE: GLD) and the iShares Gold Trust (NYSE: IAU). A single gold bar weighs 27.5 pounds and is 7 inches long by 3.675 inches wide by 1.75 inches high. The SPDR Gold Trust holds more than 1,250 metric tons of gold bullion in a vault owned by HSBC Holdings plc (NYSE: HBC), or about 2.75 million pounds. That’s 100,000 gold bars with a total dollar value of about $72 billion.

The world’s central banks hold more than 30,000 metric tons of gold, and the world’s gold miners added more than 400 tons to the globe’s supply of gold in the second quarter of this year. The newly-mined gold totaled the equivalent of 32,000 gold bars. Nearly 40% of that is converted into about 12,800 gold bars.

There are plenty of analysts who don’t believe the gold rally can continue. George Soros, for example, sold all his interests in both SPDR and iShares gold trusts. Warren Buffett thinks investing in gold is, at best, peculiar.

For now, though JP Morgan, HSBC, and Brinks, the three largest vault-providers in the UK are sitting pretty. Small gold investors, though, may be facing higher storage prices as insurance costs are rising. The vault owners, as you might expect, have no comment.

The obvious question, of course, is what happens to all these new vaults when investors unload their hoards of gold?

America’s prisons are full, we have a serious border issue, and many cities are not really seeing the improvements in crime rates that was seen in many reports. 24/7 Wall St. has taken a look before at many current issues and there are many public companies which are based almost entirely around crime and defense. While many companies are diversified and many conglomerates have units focusing on this serious matter, we are focusing on the pure-play companies around crime, defense, and safety.

The Brink’s Company (NYSE: BCO), Command Security Corp. (AMEX: MOC), Corrections Corporation of America (NYSE: CXW), The GEO Group, Inc. (NYSE: GEO), Smith & Wesson Holding Corporation (NASDAQ: SWHC), Sturm, Ruger & Co. Inc. (NYSE: RGR), and TASER International Inc. (NASDAQ: TASR) are just some of the key companies that investors have to choose from when it comes to the safety of America. We wanted to take a look at where these shares trade, what they are worth, and even if those crazy Wall Street analysts think they are good investments or not based upon consensus Thomson Reuters price target data. We have not included the Homeland Security winners as those companies are motivated by a different issue.

The Brink’s Company (NYSE: BCO) may be considered more of a transportation company, but if the world was full of a bunch angels then it would not be needed. The company is perhaps the world’s top provider of secure transportation and cash management services. Banks and merchants have to secure, cash, jewelry, stones, and other small precious and valuable goods because there is an element of society that will literally kill for those goods. This armed and secure transportation services operation trades with shares at $27.64 and its market capitalization is close to $1.3 billion. Its 52-week trading range is $18.30 to $34.46. Sales in 2010 were $3.12 billion and Thomson Reuters sees 2011 revenues of $3.76 billion. The consensus price target is roughly $36.00.

Command Security Corp. (AMEX: MOC) may have some overlaps that are not solely law enforcement, but this is a private security company with Rodgers Police, with over 6,000 armed and unarmed workers for the Secret Service, Fortune 1000 companies, and other government and/or private entities. The difference here is that this company is tiny compared to peers/ It sometimes skips trading days. At $1.59 it has a market cap of about $17.5 million and its 52-week range is $1.45 to $2.47. Revenues in 2010 (March year-end) were over $145 million. Unfortunately, this one just lost its CEO. This one is too small for most firms to cover it.

Corrections Corporation of America (NYSE: CXW) is where you end up after being a bad boy and when you big ambition of life was “three-hots and a cot.” The company owns and operates privatized correctional and detention facilities in America. Only the federal government and three states have more facilities than the “Con Hotel” of Corrections Corporation with some 66 facilities that include 45 company-owned facilities with a total design capacity of approximately 90,000 beds in 19 states and the District of Columbia. At Revenues in 2010 were 1.68 billion and Thomson Reuters has estimates of $1.73 billion for 2011 sales. At $22.79, its 52-week trading range is $18.19 to $26.89 and its market capitalization is over $2.4 billion. The consensus price target is roughly $30.00.

The GEO Group, Inc. (NYSE: GEO) competes with Corrections Corp. as it provides outsourced services managing correctional, detention, and mental health and residential treatment facilities in the United States, Australia, South Africa, and the United Kingdom. At $24.58, the market capitalization is about $1.58 billion and the 52-week range is $19.01 to $25.95. Sales in 2010 were $1.27 billion and Thomson Reuters expects sales of about $1.64 billion in 2011. The consensus price target is roughly $31.17.

Smith & Wesson Holding Corporation (NASDAQ: SWHC) and Sturm, Ruger & Co. Inc. (NYSE: RGR) are two of those companies which live on both sides of the ‘crime and defense sector’ when you think about it. The arguments for and against guns are many, but crime and public-defending cannot go without bringing in the gun manufacturers. The companies probably do not want this addressed too much, but whether you are cop or a hardened con chances are that you are packing a gun from one of these two companies or from their rivals. Smith & Wesson trades at $3.45, has a 52-week trading range of $3.27 to $4.60, and has a market cap of about $208 million. S&W’s sales in 2010 (different fiscal year, April) over $406 million and Thomson Reuters sees sales of over $390 million in 2011. Strum Ruger trades at $20.73, and its 52-week range is $12.66 to $24.05 with a market cap of about $395 million. Sales in 2010 were $255.2 million and Thomson Reuters sees sales of over $278 million in 2011. Let’s not forget about home security operations as well. The consensus price target for S&W is roughly $5.02 and the consensus price target for Sturm, Ruger is roughly $25.00.

TASER International Inc. (NASDAQ: TASR) is a controversial company because its Tasers (stun guns) have been the subject of many wrongful death suits against police departments and around the devices. What is amazing is that the one feature is rarely addressed publicly… Police sometimes have to use force. When you are attacking the police, or when you are resisting arrest and cannot be reasoned with that you have to go to the clink, would you rather have your head bashed with a baton, would you rather have a hollow-point-.44 enter your chest and exit your back the size of an orange, or would you rather be tasered? At $4.48, its 52-week range is $3.52 to $5.17 and its market capitalization is approximately $270 million. The company is now expected to run at profitability. Sales in 2010 were $86.9 million and Thomson Reuters expects sales of over $98 million in 2010. The consensus price target is roughly $5.17 but it is thinly followed.

Not including some of the defense companies and others like Tyco International Ltd. (NYSE: TYC) and Honeywell International Inc. (NYSE: HON) and Diebold, Incorporated (NYSE: DBD) makes this feel very incomplete, but we wanted to focus on pure-plays in security, weapons, prison, and others. There are also dozens of OTC or Pink Sheet stocks that can fit in the category of crime and punishment, but we usually refrain from covering such small companies.

Shares of Unisys Corp. (NYSE: UIS) are trading up 8% today after capitulating to activist investor MMI Investments, LLP, which is one of the largest shareholders of Unisys. Unisys has delayed its annual meeting to July 24 to allow it more time to "explore certain portfolio rationalization and other actions that may enhance shareholder value" with its investment banker Bear Stearns.

If this sounds familiar at 247WallSt.com, it is because this was listed as one of "turnarounds that hasn’t turned around" recently. In the we noted: "When you backdate the news and look at the history of the company you’d think that the turn may have already started. But shares are barely above 52-week lows and are barely off of multi-year lows too."

MMI was one of the reasons we named Brinks (NYSE: BCO) to our Special Situations newsletter, and is also part of the reason we have not wanted to close out that position to lock in would-be profits. You can look at their last proxy filing to see how involved MMI can get.

MMI sent a shareholder letter in early January to urge its review of alternatives, and part of that encouragement included its government services business. We are not actually under the belief that a mega-premium buyout is in the cards for Unisys. We are not overly encouraged by an already-leveraged balance sheet that is too heavy in goodwill and intangible assets. But we do believe that the company can continue to make cuts as needed and can streamline certain operations that are not contributing to the bottom line. The company is still underperforming compared to analyst estimates, but it has at least come back to ‘quarterly profitability’ and that is at least a start.

Those of you who trade turnarounds will want to keep this one on your watch lists. It may be a long slow road, but it looks like the car is at least out of the shop even if it isn’t on the road yet.

Shares of Brinks Co. (NYSE: BCO) are up significantly after today earnings report. We have been behind Brinks for several months now, and it is still an active stock on our Special Situation subscriber letter. This has approached our own $70 price target before the market malaise took it lower. It actually never even did hit our downside panic levels, but we have a hedged scenario anyhow.

This morning Brinks managed to beat earnings quite handily. Brinks posted earnings at $1.16 EPS, well above the $0.74 estimate from First Call; revenues were up more than 18% to $882.8 million, yet First Call only had estimates at $819.5 million.

Furthermore the company put 2008 goals for organic growth of high-single digits for revenues with operating profit margins at or above 8%. Not only that, but Brinks is looking further out to 2010 with a goal of sustaining that rate of revenue growth and boosting its operating margins to 10%.

Our Special Situation thrust here was only partially based upon improving results, although we did expect a turn there again. We have been tracking increased activist investor activity and after we reviewed the books, the business stance, its minor units that could be parceled out, and other factors, we determined that this stock could reach roughly $70.00. Our entry area was in the mid-$50′s in September 2007, and we didn’t want to note the profits by taking them too soon in the mid-$60′s by early November.

As always, we laid out an options trade that allowed for hedging the transaction to minimize risk. This is crucial for many turnarounds and for many businesses that have special situations they are working through. In short, it’s important to have protection when management may intentionally or inadvertently take actions that result in negative shareholder value.

Macrovision Corp. (NASDAQ:MVSN) completed its $100 Million Share Repurchase; Board Authorizes Additional $60 Million Share Repurchase.

Brady Corporation (NYSE:BRC) announced that its Board of Directors authorized a share buyback program for up to 1 million shares of the Company’s common stock.

MONDAY 9/17/2007

Move, Inc. (NASDAQ:MOVE) announced that its board of directors authorized the repurchase of up to $50 million of its common stock.

LeCroy Corporation (NASDAQ: LCRY) announced that as part of its currently authorized share repurchase program, that this week it intends to commence open-market share repurchases under its share repurchase plan. In May 2006, LeCroy’s Board of Directors approved the adoption of a share repurchase plan authorizing the Company to purchase up to two million shares of its common stock. To date, LeCroy has purchased approximately one million shares under the plan. LeCroy has not purchased any shares since October 2006 when it acquired 850,000 Company shares in connection with the issuance of $72 million 4% convertible notes.

HandHeld Entertainment, Inc. (NASDAQ:ZVUE) announced that its Board of Directors authorized the repurchase of up to 1 million shares of HandHeld’s common stock, or approximately 6% of shares currently outstanding, over the following six months.

Rocket City Enterprises, Inc. (Pink Sheets:RCTY) announced that will be initiating a stock purchase program beginning immediately. The purchases will occur from time to time at the Company’s discretion. No shares were noted as the amount, so congratulations.

CDC Corporation (NASDAQ: CHINA) said that since September 7, 2007, the date the company re-opened its trading window, the company and its subsidiaries have repurchased approximately 916,000 common shares at an average price of U.S.$7.42 per share. Since the beginning of the share repurchase program on May 2, 2006, the company has spent an aggregate of U.S.$46.8 million in connection with repurchases of the total U.S.$60 million authorized. In addition, company insiders have purchased approximately 200,000 shares, at a total value of more than U.S. $1.4 million, since September 7.

Ahold (NYSE:AHO) has repurchased 11,702,830 of its own common shares in the period from September 10, 2007 up to and including September 14, 2007. Shares were repurchased at an average price of EUR 10.1821 per share for a total amount of EUR 119.2 million. These repurchases were made as part of the EUR 1 billion share buyback program announced on August 30, 2007. The total number of shares repurchased under this program to date is 22,258,162 common shares for a total consideration of EUR 225.7 million.

Last Friday, September 14, 2007, Brinks Co. (NYSE:BCO) capitulated. It announced a new $100 million share buyback program, which represents just under 2 million shares at the current prices. We feel this is the first of many possibilities that will reinvigorate shareholder values. As such, this progressed from a watch list to an active stock in our "SPECIAL SITUATION INVESTING NEWSLETTER" which can be applied for in a trial on the link. We offered what we feel is a more than satisfactory price target with upside, gave the reason and logic behind the call, and even went as far as offering a hedging solution with appropriate stock options for added downside protection.

Cramer has a new method for predicting takeovers. Four of the fourteen largest buybacks have either been taken over or have agreed to be taken over in the last few months. Cramer thinks the other 10 are great buyback targets as well. Cramer has 3 picks out of these 10. His #3 pick was United Stationers (USTR-NASDAQ) and his #2 pick was Brinks (BCO-NYSE). He also said that he is only focusing on buyout candidates that he thinks are good all on their own.

The #1 pick from Cramer in buybacks is Weight Watchers (WTW-NYSE). I hate to tout any ex-picks here but this was one of my buyout picks last summer when the shares were sliding and sliding because of a potential leveraging effect and what would probably a better diet and nutrition plan than others.

Cramer has a new method for predicting takeovers. Four of the fourteen largest buybacks have either been taken over or have agreed to be taken over in the last few months. Cramer thinks the other 10 are great buyback targets as well. Cramer has 3 picks out of these 10. His #1 pick will be after the Lightning Round. He also said that he is only focusing on buyout candidates that he thinks are good all on their own.

Cigna (CI) is on the list but he’s already highlighted it recently. Sonic (SONC) and Cracker Barrel (CBRL) would have been on Cramer’s list except that he thinks they are too vulnerable to consumer spending and too vulnerable to higher gasoline prices.

The #3 pick is United Stationers (USTR-NASDAQ) which has bought back 20% of its outstanding shares. The company should have improving margins and there are only three analysts covering the stock.

The #2 pick is Brinks (BCO-NYSE) that bought back 21% of its stock. He thinks the fundamentals are great on this one. This one is a home security play and a play for securely transporting financial and luxury goods.

What is funny is that since Cramer hates ETF’s so much, he neglected to tell you about PowerShares Buyback Achievers Portfolio (AMEX:PKW). This is an ETF that actively invests in companies who are buying back shares. As far as which of these are good and bad, United Stationers is one that has many competitors that go through periods where they look good and bad. They are ultra-sensitive to economic cycles and business spending. But Brinks on the other hand is one that is solid. The stock is up on its 52-week highs, but here is thing: this company already transports massive amounts of luxury goods that the millionaires and billionaires already use. This one makes sense, and it would have been a perfect play for Berkshire Hathaway earlier if the size was larger than $3 Billion.
