The Case-Shiller report on housing contributed to the weakness and then the Conference Board’s Consumer Confidence Index came it at its lowest reading in three years. Shares of Netflix Inc. (NASDAQ: NFLX) continue to fall and First Solar Inc. (NASDAQ: FSLR) fired its CEO. Crude oil prices rose almost $2/barrel, and gold rose more than 3%, to top $1,700/ounce.</p>
<p>The unofficial closing bells put the DJIA down more than 205 points at 11,707.91 (-1.73%), the NASDAQ fell more than61 points (-2.26%) to 2,638.42, and the S&amp;P 500 fell -2% or more than 25 points to 1,229.06.</p>
<p>There were<a href="http://247wallst.com/2011/10/25/top-analyst-upgrades-downgrades-t-bk-cell-fdo-frx-hway-jaso-lvlt-low-nflx-rgld-veco/"> several analyst upgrades and downgrades today</a>,  including a drop of AT&amp;T (NYSE: T) to ‘market perform’ at Bernstein. Forest Laboratories Inc. (NYSE: FRX) was cut to ‘hold’ at Argus and Healthways Inc. (NASDAQ: HWAY) downgraded at 3 firms. Stocks getting a boost today included JA Solar Holdings Co. Ltd. (NASDAQ: JASO) raised to ‘overweight’ at Piper Jaffray, Level 3 Communications, Inc. (NASDAQ: LVLT) raised to ‘neutral’ at Citigroup, and Lowe’s Companies (NYSE: LOW) raised to ‘buy’ at Janney.</p>
<p>Here are today’s big post-earnings news reactions with prices during the last half-hour of trading:  Netflix is down nearly -35%, at $77.30; 3M Co. (NYSE: MMM) fell more than -5.5%, to $77.45; AK Steel Holding Corp. (NYSE: AKS) fell more than 13% to $7.52; ARM Holdings plc (NASDAQ: ARMH) up about 1%, at $27.98; Ceradyne Inc. (NASDAQ: CRDN) up nearly 10%, at $33.48; and Sherwin-Williams Co. (NYSE: SHW) up about 2.5%, at $83.62.</p>
<p><strong>Several other standouts from today are as follows…</strong></p>
<p>First Solar dropped more than -25%, to $43.40, a new 52-week low. The company has <a href="http://247wallst.com/2011/10/25/d-day-at-first-solar-as-ceo-out-fslr-hon-ge/">fired its CEO</a> after the shares have been pummeled on falling prices for solar PV panels. The stock’s 52-week high is $175.45, and that may be in the rear-view mirror forever.</p>
<p>Healthways is down more than -43%, at $6.31, after posting a new 52-week low of $6.22 earlier. CIGNA Corp. (NYSE: CI) will be <a href="http://247wallst.com/2011/10/25/healthways-the-implosion-of-the-day-hway-ci/">cutting its contract work</a> with Healthways following Cigna’s announced acquisition of HealthSpring.</p>
<p>Interactive Intelligence Group, Inc. (NASDAQ: ININ) dropped more than -24%, to $25.66. The company was downgraded by two analyst firms. The company reported soft earnings this morning.</p>
<p>SMTC Corp. (NASDAQ: SMTX) is up more than 45%, to $2.11. The circuit board maker raised fourth quarter and fiscal year 2012 guidance.</p>
<p>Unisys Corp. (NYSE: UIS) is up more than 32%, at $26.54. Earnings beat expectations as foreign sales appear to be more than making up for weak federal government sales in the US.</p>

(NASDAQ: HWAY) could be named &#8220;The Implosion Stock of the Day.&#8221;  Revenues rose 3.3% from a year earlier to $176.2 million, but that sequential earnings gain is actually more than a 6% annual drop to $0.28 EPS.  In raw dollars, the earnings drop was an even higher percentage. Healthways is a provider aimed at helping people maintain or improve their health and well-being to reduce overall healthcare costs.</p>
<p>What does one do when 65% sequential earnings growth is not enough?  That is what investors can ask, although a contract loss is the biggest culprit for today&#8217;s implosion. Cigna Corporation (NYSE: CI) recently informed the company that it will wind down its current contract in 2012 ahead of the contract’s Feb-2013 expiration and that contract is expected to produce revenues of $110 to $115 million. Healthways expects a reduction in revenues from Cigna for 2012 compared with 2011 in a range of $60 million to $65 million.  Ouch.<br />

The company noted that its net operating cash flow was down from the prior two quarters to $9.4 million.  The company did note that it continues to expect full-year net operating cash flow in a range of $80 million to $100 million.  The company also affirmed its guidance for 2011 revenues of $672 to $710 million ($650 to $680 million domestic and $22 to $30 million international).  The company also sees 2011 net income in a range of $0.90 to $1.00 EPS versus a previous range of $0.90 to $1.08 EPS.</p>
<p>Shares are down almost 35% around $7.40 in the pre-market and the prior 52-week trading range was $8.63 to $17.62.</p>

			<content:encoded><![CDATA[<div>Stocks opened higher this morning, helped along by a host of merger announcements. Techs got boost when Oracle Corp. (NASDAQ: ORCL) said it would pay $1.5 billion for cloud-based customer service provider RightNow Technologies Inc. (NASDAQ: RNOW). Strong earnings from Caterpillar Inc. (NYSE: CAT) were among quarterly reports that gave markets a push higher as well. Investors are also buying on news from Europe that the EU’s takeover fund will be significantly expanded. Oil prices gained nearly 4% on an improved global economic outlook. The market gave back some gains late in the day on word that another downgrade of US debt may be coming if the Congressional supercommittee fails to deliver a budget agreement.The unofficial closing bells put the DJIA up nearly 106 points to 11,914.75 (0.89%), the NASDAQ rose nearly 62 points (2.35%) to 2,699.44, and the S&amp;P 500 rose 1.29% or nearly 16 points to 1,254.21.There were <a href="http://247wallst.com/2011/10/24/top-analyst-upgrades-downgrades-aet-a-deck-gpn-tv-hmin-itc-ivn-eric-mmc-mcd-pal-rgld-teva-tlab-tcbi/">several analyst upgrades and downgrades today</a>, including a re-iteration of the ‘outperform’ rating for McDonald’s Corp. (NYSE: MCD) at Credit Suisse. The brokerage maintained the company on its Focus List and lifted the stock’s target price to $104. Ivanhoe Mines Ltd. (NYSE: IVN) was started at ‘outperform’ at Credit Suisse, as was North American Palladium Ltd. (NYSE: PAL). Royal Gold, Inc. (NASDAQ: RGLD) was raised to ‘outperform’ at National Bank.</p>
<p>We also want to call out some of the <a href="http://247wallst.com/2011/10/24/endless-mergers-more-to-come-cbst-adlr-hs-ci-cvh-mat-rnow-orcl-sle-sjm-ands-nyx/">other mergers and acquisitions</a> announced this morning. Mattel Inc. (NYSE: MAT) acquired HIT Entertainment for $680 million. J.M. Smucker Co. (NYSE: SJM) is paying $350 million for the food service coffee and tea business of Sara Lee Corp. (NYSE: SLE). Today’s biggest deal has insurance company CIGNA Corp. (NYSE: CI) paying $3.8 billion for HealthSpring Inc. (NYSE: HS) as the insurance industry keeps on consolidating.</p>
<p>Here are today’s big post-earnings news reactions with prices during the last half-hour of trading: Caterpillar’s shares are up nearly 5%, at $91.66; Eaton Corp. (NYSE: ETN) up about 4.5%, at $44.12; Lorillard, Inc. (NYSE: LO) down less than -0.5%, at $115.16 after missing EPS estimates this morning; Metro Bancorp, Inc. (NASDAQ: METR) down nearly -8% after posting an EPS loss of -$0.41; Netflix Inc. (NASDAQ: NFLX) up more than 1.5% in anticipation of the <a href="http://247wallst.com/2011/10/24/full-360-degree-netflix-earnings-preview-nflx">company’s earnings release after the bell today</a>; and Texas Instruments Inc. (NYSE: TXN) up more than 3.6% on expected earnings after today’s markets close.</p>
<p><strong>Several other standouts from today are as follows…</strong></p>
<p>Adolor Corp. (NASDAQ: ADLR) is up about 132%, at $4.49, on news of its acquisition by Cubist Pharmaceuticals, Inc. (NASDAQ: CBST) for $190 million, or $4.25/share. Adolor’s 52-week trading range is $1.09-$4.53, and the high was set today, anticipating that the company will hit milestones in the acquisition offer that could add up to $35 million to the purchase price.</p>
<p>Sky-mobi Ltd. (NASDAQ: MOBI) is up 42%, at $5.55, on a strategic partnership with SINA Corp. (NASDAQ: SINA). Sky-mobi’s Maopao mobile social network will now be able to offer SINA’s Weibo.com microblog as a downloadable application.</p>
<p>Amtech Systems, Inc. (NASDAQ: ASYS) is up more than 23%, to $11.25. The company, which makes manufacturing equipment for solar makers, is getting boost from today’s rise in solar stocks.</p>
<p>SXC Health Solutions Corp. (NASDAQ: SXCI) is down more than -20%, at $44.98. HealthSpring, which is being acquired by CIGNA, is one of SXC’s biggest customers, accounting for about a third of the company’s sales.</p>
<p>Dataram Corp. (NASDAQ: DRAM) is off more than -10%, at $1.10. Spot prices for dynamic RAM continue to weaken, a trend that caused Micron Technology Inc. (NASDAQ: MU) results to tumble last quarter.</p>

<p>Cubist Pharmaceuticals Inc. (NASDAQ: CBST) is pulling a rabbit out of its hat.  Cubist was once believed to be a solid acquisition candidate when its share price was much lower, but now the company has come out and announced that it is acquiring Adolor Corporation (NASDAQ: ADLR) for about $190 million in a deal that could rise to $225 million if certain milestones are achieved. Adolor loves the price as the shares are up 129% at $4.40 today.  That is above the $4.25 buyout price, but the possible upside for the milestones is why.</p>
<p>HealthSpring Inc. (NYSE: HS) is being acquired for $3.8 billion by CIGNA Corporation (NYSE: CI) in a $55 buyout offer in close to a 35% premium.  Insurers continue to consolidate.  Elsewhere in healthcare, Coventry Health Care Inc. (NYSE: CVH) was listed as one which could be acquired by Barron&#8217;s over the weekend and its shares are up almost 6% at $31.66 in conjunction with healthcare consolidation news and on hopes for more pin action.</p>
<p>Mattel Inc. (NYSE: MAT) is acquiring HIT Entertainment in a $680 million acquisition from Apax Partners and a private equity consortium.  Mattel&#8217;s market cap is $9.6 billion.  The deal locks up the Thomas &amp; Friends toys.</p>
<p>Rightnow Technologies Inc. (NASDAQ: RNOW) is much more well known &#8221;right now&#8221; since Oracle Corporation (NASDAQ: ORCL) has announced a buyout of the company.  This $1.5 billion purchase comes to $43.00 per share and the stock hit a new all-time high of $42.92.  RightNow is in cloud-based customer experience software products and services.</p>
<p>Sara Lee Corporation (NYSE: SLE) is a company that has been a rumored (and hoped for) buyout target for longer than one can easily recall in the food sector.  The company is selling off the majority of its food service coffee and tea operations to J.M. Smucker Co. (NYSE: SJM) for about $350 million.  Considering it is a $10.5 billion company by market capitalization, this is no real game-changer.</p>
<p>Elsewhere in M&amp;A news, Anadys Pharmaceuticals Inc. (NASDAQ: ANDS) is at a year high of $3.68 and it now has a formal class action suit filed against the merger where Roche is set to pay out $3.70 per share. This was a $10 and higher stock in 2006.</p>
<p>NYSE Euronext, Inc. (NYSE: NYX) and its Deutsche Bourse merger is still hanging in the wind.  The merger has a hearing in the European Union on October 27 to address some of the concerns brought up by regulators.  At $26.70 today, this is way down from the highs above $41.00 over the last year.</p>

			<content:encoded><![CDATA[<p><img class="alignleft size-medium wp-image-105730" title="Medical_Symbol" src="http://247wallst.files.wordpress.com/2011/06/medical_symbol1.jpg?w=200&#038;h=142" alt="" width="200" height="142" />It was just last week that CIGNA Corporation (NYSE: CI) was noted in an analyst research note as being a good fit for the likes of AETNA Inc. (NYSE: AET).  After all, consolidation in health insurance providers is one of the end results of healthcare reform as these companies can have a larger and larger base in which to offset risks of forced-carry policies that otherwise might have been refused for coverage.  Today we will get to see investor presentations from CIGNA.</p>
<p>The company released an SEC Filing showing that company officials &#8220;expect to participate in meetings and discussions with investors and analysts&#8221; today.   There is no mention of the words &#8220;merger, acquisition, consolidation&#8221; and the like.  At least not in the preliminary filing.  You can bet that analysts and/or investors will ask about this.</p>
<p>CIGNA did note that it will reaffirm its consolidated adjusted income from operations estimates for the full year 2011 in the same range of $1.275 billion to $1.365 billion that had been previously offered.</p>
<p>The company noted that the outlook assumes break-even results for Guaranteed Minimum Death Benefits for 2011 and that the actual experience will be consistent with its long-term reserve assumptions.</p>
<p>CIGNA shares are at $49.09 and the 52-week trading range is $29.12 to $50.70.  That 52-week high was put in last week based in part on the hopes for continued consolidation.</p>

			<content:encoded><![CDATA[<p><img class="alignleft size-medium wp-image-105522" title="Medical_Symbol" src="http://247wallst.files.wordpress.com/2011/06/medical_symbol.jpg?w=200&#038;h=142" alt="" width="200" height="142" />It is no secret that health care insurance and health care service providers are going to continue to consolidate in the months or years ahead.  We have already seen UnitedHealth Group, Inc. (NYSE: UNH) roll up many companies into a $54 billion market value.  We are seeing some fresh reports today that CIGNA Corporation (NYSE: CI) and Aetna Inc. (NYSE: AET) may tie the not.</p>
<p>If these two are in real merger talks remains to be seen, but Barclays gave 10 reasons that would justify a merger.  Our take is that the companies may be too much a merger of equals (or near-equals).  The CIGNA CEO has talked about the merits of a tie-up but we have not delved too deeply into that possibility other than the obvious consolidation trends we expect.</p>
<p>CIGNA was just <a href="http://www.zacks.com/registration/pfp?ALERT=ZER_LINK&amp;d_alert=ZER_CONF&amp;t=CI&amp;ADID=247WALL_CONTENT_ZER" target="_blank">raised to Outperform</a> at Zacks yesterday and the firm also has a <a href="http://www.zacks.com/registration/pfp?ALERT=ZER_LINK&amp;d_alert=ZER_CONF&amp;t=AET&amp;ADID=247WALL_CONTENT_ZER" target="_blank">rating on Aetna shares</a>.</p>
<p>We also just saw this morning that Credit Suisse reiterated an Outperform rating on UnitedHealth Group, Inc. (NYSE: UNH) and its target was raised to $69.00 at the firm.  At almost $50.00 after a 3.6% gain that still represents much upside.</p>
<p>Aetna was also recently named as a Forbes <a href="http://www.forbes.com/forbes/2011/0627/money-guide-11-stocks-obamacare-health-inflation-portfolio-picks.html" target="_blank">winner of Obamacare</a>.</p>
<p>We cannot really leave Humana Inc. (NYSE: HUM) untapped in this effort.  Humana trades at $79.75 after a 2.6% gain today, its 52-week range is $43.59, and its market cap is $13.4 billion.  We still consider Humana as an acquirer rather than as a seller, but we learned long ago that anything is possible in mergers.  Add in industry pressure of the magnitude of the last three years and you will understand even more why these companies are looking at inorganic growth opportunities.  Humana just acquired CareMore for Medicare coverage expansion mostly in California, Arizona, and Nevada.</p>
<p>CIGNA Corporation (NYSE: CI) is up 4.1% at $50.24 with a 52-week range of $29.12 to $50.45 and its market cap is just over $13.5 billion.</p>
<p>Aetna Inc. (NYSE: AET) is up 3.5% at $43.92 and the 52-week range is $25.00 to $46.01 and its market cap is some $16.6 billion.</p>
<p>You may see a merger tie-up between CIGNA and Aetna.  If not, you&#8217;ll see other mergers in health care providers.  It is only inevitable.</p>
