The lack of any further data to chew over left the markets with nothing to do but worry about slowing growth. Energy stocks led the slide as crude prices continued to fall (more coverage <a title="Major Reactions As Crude Marches Down Through $100/Barrel (USO, OIH, AMJ, XOM, CVX, SLB, BHI, RIG, NOV, VLO, CHK)" href="http://247wallst.com/2012/05/04/major-reactions-as-crude-marches-down-through-100barrel-uso-oih-amj-xom-cvx-slb-bhi-rig-nov-vlo-chk/">here</a>). The US dollar index rose today, now up 0.35% at 79.495. The GSCI commodity index is down about -1.3% at 6769.36, with commodities mixed on the gains for the dollar. WTI crude oil closed down -4.6% at $97.81/barrel, its lowest level since mid-February, and Brent crude trades down -2.48% at $113.20/barrel. Gold settled up 0.6% today, at $1,645.20/ounce.</p>
<p>The unofficial closing bells put the DJIA down more than 168 points to 13,038.04 (-1.28%), the NASDAQ fell nearly 68 points (-2.25%) to 2,956.34, and the S&amp;P 500 fell -1.62% or more than 22 points to 1,369.09.</p>
<p>There were several analyst upgrades and downgrades today, including LinkedIn Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/linkedin-corp/lnkd">NYSE: LNKD</a>) target price raised to $140 at Susquehanna; FedEx Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/fedex/fdx">NYSE: FDX</a>) raised to ‘strong buy’ at Raymond James; The Allstate Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/the-allstate-corp/all">NYSE: ALL</a>) raised to ‘overweight’ at Barclays; Red Hat Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/red-hat-inc/rht">NYSE: RHT</a>) started as ‘outperform’ at BMO; and Saks Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/saks-inc/sks">NYSE: SKS</a>) reiterated ‘buy’ and target price of $14 at Argus.</p>
<p>Earnings reports since markets closed last night have led to some price changes as of the last half hour of trading today: First Solar Inc. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/first-solar/fslr">NASDAQ: FSLR</a>) is down -6% at $16.98 after posting a new 52-week low of $16.80 earlier today (more solar coverage <a title="Second Look at Solar Earnings: Still Cause for Concern (FSLR, SPWR, TSL, YGE, LDK, STP, JASO)" href="http://247wallst.com/2012/05/04/second-look-at-solar-earnings-still-cause-for-concern-fslr-spwr-tsl-yge-ldk-stp-jaso/">here</a>); SunPower Corp. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/sunpower-corporation/spwr">NASDAQ: SPWR</a>) is down -2.1% at $5.58; AES Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/the-aes-corp/aes">NYSE: AES</a>) is down -0.7% at $12.13 (more utilities coverage <a title="Utilities Earnings Hit by Weather (DUK, SE, AES, AEE, LNT)" href="http://247wallst.com/2012/05/04/utilities-earnings-hit-by-weather-duk-se-aes-aee-lnt/">here</a>); Duke Energy Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/duke-energy-corp/duk">NYSE: DUK</a>) is up 0.9% at $21.60; Estée Lauder Companies Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/the-estee-lauder-companies-inc/el">NYSE: EL</a>) is down -5.8% at $60.44 (more coverage <a title="Estée Lauder Falls on Lowered Guidance, Avon Up on Reports of Another Bidder (EL, AVP)" href="http://247wallst.com/2012/05/04/estee-lauder-falls-on-lowered-guidance-avon-up-on-reports-of-another-bidder-el-avp/">here</a>); The Washington Post Co. (<a href="http://247wallst.dailyfinance.com/quote/nyse/exelon-corp/exc">NYSE: EXC</a>) is down -0.7% at $38.54; and The Madison Square Garden Co. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/madison-square-garden/msg">NASDAQ: MSG</a>) is up 3.7% at $37.87 after posting a new 52-week high of $38.38..</p>
<p>On Monday we get earnings from American States Water Co. (<a href="http://247wallst.dailyfinance.com/quote/nyse/american-states-water-company/awr">NYSE: AWR</a>), Breitburn Energy Partners L.P. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/breitburn-energy-partners-lp/bbep">NASDAQ: BBEP</a>), Dendreon Corp. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/dendreon-corp/dndn">NASDAQ: DNDN</a>), Dish Network Corp. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/dish-network-corporation/dish">NASDAQ: DISH</a>), Louisiana Pacific Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/louisiana-pacific-corp/lpx">NYSE: LPX</a>), Kid Brands Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/kid-brands-inc/kid">NYSE: KID</a>), Jinkosolar Holding Co. Ltd. (<a href="http://247wallst.dailyfinance.com/quote/nyse/jinkosolar-holding-company/jks">NYSE: JKS</a>), and Tyson Foods Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/tyson-foods-inc/tsn">NYSE: TSN</a>).</p>
<p><strong>Other standouts from today include the following stocks:</strong></p>
<p>Einstein Noah Restaurant Group, Inc. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/einstein-noah-restaurant-group-inc/bagl">NASDAQ: BAGL</a>) is up 19.9% at $16.84 after posting a new 52-week high of $17.68 earlier today. The bagel maker and restaurateur reported strong earnings and said it would begin to explore strategic options.</p>
<p>Dolby Laboratories Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/dolby-laboratories/dlb">NYSE: DLB</a>) is up 17.5% at $44.22. The company reported strong earnings and has signed a deal with Microsoft Corp. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/microsoft-corp/msft">NASDAQ: MSFT</a>). <p>Body Central Corp. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/body-central-corp/body">NASDAQ: BODY</a>) is down -47.8% at $15.11. The young women’s apparel seller reported poor earnings and forecast more of the same until at least back-to-school season.</p>

<p>Rival Avon Products Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/avon-products-inc/avp">NYSE: AVP</a>) reported very weak results earlier this week as the company continues to fight a takeover bid from privately held Coty Inc. And Avon may have another suitor &#8212; there are reports that private equity firm Richmont Holdings Inc. is currently lining up financing to make its own bid for Avon.</p>
<p>Lauder lowered its fourth quarter adjusted EPS guidance to a range of $0.11-$0.16, well below the consensus estimate of $0.20. For the full year adjusted EPS guidance was forecast at $2.1-$2.26 versus a current estimate of $2.24.</p>

The report on new unemployment benefits claims came in better than expected, but not enough to overcome the ISM numbers (more coverage <a title="Weekly Jobless Claims Previews Unemployment &amp; Payrolls Data Ahead of Friday" href="http://247wallst.com/2012/05/03/weekly-jobless-claims-previews-unemployment-payrolls-data-ahead-of-friday/">here</a>). Retail sales reports were also weak, with growth of just 0.8% compared with an estimate of 1.5% (more coverage <a title="Retail Sales Figures Off to Slow Start (COST, TGT, M, GPS, SSI, LTD, SMRT, WTSLA, BKE, ZUMZ)" href="http://247wallst.com/2012/05/03/retail-sales-figures-off-to-slow-start-cost-tgt-m-gps-ssi-ltd-smrt-wtsla-bke-zumz/">here</a>). The energy sector has been particularly hard hit today on reports that supply is keeping up with demand, some weak earnings reports, and a comment from OPEC that it would like to see Brent crude at $100/barrel, not $120 or more (our coverage <a title="$100/barrel Crude Good for OPEC, Not So Good for Supermajors (XOM, CVX, COP, TOT, BP, BX)" href="http://247wallst.com/2012/05/03/100barrel-crude-good-for-opec-not-so-good-for-supermajors-xom-cvx-cop-tot-bp-bx/">here</a>).</p>
<p>The US dollar index rose today, now up 0.11% at 79.221. The GSCI commodity index is down about -1.3% at 678.65, with commodities mixed on the small gains in the dollar. WTI crude oil closed down -2.6% at $102.54/barrel, and Brent crude trades down -1.84% at $116.02/barrel. Gold settled down -1.2% today, at $1,634.80/ounce.</p>
<p>The unofficial closing bells put the DJIA down nearly 62 points to 13,206.59 (-0.47%), the NASDAQ fell more than 35 points (-01.16%) to 3,024.30, and the S&amp;P 500 fell -0.77% or nearly 11 points to 1,391.57.</p>
<p>There were several <a title="Top Analyst Upgrades &amp; Downgrades (ALGN, BHI, CACI, CAB, CHK, DVA, GMCR, LVLT, MSCI, ONXX, PCLN, QCOM, QIHU, CRM, TTM)" href="http://247wallst.com/2012/05/03/top-analyst-upgrades-downgrades-algn-bhi-caci-cab-chk-dva-gmcr-lvlt-msci-onxx-pcln-qcom-qihu-crm-ttm/">analyst upgrades and downgrades today</a>, including Chesapeake Energy Corp. (<a href="http://247wallst.dailyfinance.com/quote/nyse/chesapeake-energy-corp/chk">NYSE: CHK</a>) maintained as ‘buy’ but target price cut to $31 at BofA/ML and raised to ‘outperform’ at Bernstein; Level 3 Communications Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/level-3-communications-inc/lvlt">NYSE: LVLT</a>) reiterated ‘buy’ at SunTrust Robinson Humphrey and cut to ‘neutral’ at Piper Jaffary; Qualcomm Inc. (<a href="http://247wallst.dailyfinance.com/quote/nasdaq/qualcomm-inc/qcom">NASDAQ: QCOM</a>) reiterated as ‘buy’ at BofA/ML; and Salesforce.com (<a href="http://247wallst.dailyfinance.com/quote/nyse/salesforcecom/crm">NYSE: CRM</a>) raised to ‘outperform’ with a $185 target price at Credit Suisse.</p>

(<a href="http://247wallst.dailyfinance.com/quote/nyse/apache-corp/apa">NYSE: APA</a>) is down -3.7% at $91.99; Western Refining Inc. (<a href="http://247wallst.dailyfinance.com/quote/nyse/western-refining-inc/wnr">NYSE: WNR</a>) is down -2.6% at $18.42; YRC Worldwide Inc. In the case of all of these companies, the shareholder should not be fooled into thinking anyone other than the controlling shareholder ultimately decides who runs the company and how. The chief executives on the “Least Powerful CEOs in America” list serve at the whim of controlling shareholders, regardless of how well or how poorly they do for the company’s other shareholders.</p>

<p>Most of the companies with a controlling shareholder are ones in which the founder or founding family had all of the ownership before the company became public. In some cases these founders kept all voting shares for themselves at the time of the initial public offering. In other cases, they kept enough to still have much larger stakes than any other holders. The best example of the evolution from owning all of a company to owning voting control is Walmart (<a href="http://247wallst.dailyfinance.com/quote/nyse/wal-mart-stores/wmt">NYSE: WMT</a>). Sam Walton founded the company. He kept the controlling block of shares when it went public. His family retained control after his death and still does.</p>
<p>The fact that a CEO can be dismissed for reasons other than performance does not appear to affect how well these chief executives do. Current Walmart CEO Michael Duke may be the worst chief executive in the retailer’s history, but so far he retains the support of the founder’s family.  The Mexico bribery scandal that Walmart faces will cost shareholders money, probably in the form of large legal fees and perhaps government fines. Walmart’s stock has fallen recently due to investor concerns. Duke has been a poor steward. At the other end of the spectrum is Fabrizio Freda, who runs Estee Lauder (<a href="http://247wallst.dailyfinance.com/quote/nyse/the-estee-lauder-companies-inc/el">NYSE: EL</a>). The company set a record for both profits and revenue last year. Shares are up 100% in just two years. Still, nothing would keep the Lauder family from dismissing Freda &#8212; should they choose to &#8212; despite those successes.</p>
<p>24/7 Wall St. reviewed the corporate structure, governance and voting rights of the 500 largest companies by market cap. Based on a review of company proxies, we identified those companies in which someone other than the CEO had voting control of the company. We then limited the universe to those companies with market cap in excess of $5 billion.</p>

			<content:encoded><![CDATA[<p><img class="alignleft" title="Stock Market Image" src="http://247wallst.files.wordpress.com/2010/10/stock-market-image.jpg?w=200&h=133" alt="" width="200" height="133" data-id="82326" data-caption="" />Major indexes reacted positively to this morning’s non-farm payrolls report and the drop in the US unemployment rate from 8.5% to 8.3%. Expectations for the unemployment rate had been no better than flat, and jobs growth of 243,000 was also a big surprise. The report ISM service jobs was also higher than expected this morning, although data on new factory orders was lower than expected. The Nasdaq composite posted an 11-year high today, and yields on US Treasuries also rose as investors headed into equities. Crude oil rose sharply today on the good economic news. WTI crude is up 1.32% at $97.63/barrel and Brent crude is up 2.10% at $114.42/barrel. Gold, as might be expected, dropped -1.64% today to $1,730.50/ounce.</p>
<p>The unofficial closing bells put the DJIA up nearly 157 points to 12,862.23 (1.23%), the NASDAQ rose nearly 46 points (1.61%) to 2,905.66, and the S&amp;P 500 rose 1.46% or more than 19 points to 1,344.90.</p>
<p>There were several <a title="Top Analyst Upgrades &amp; Downgrades (APA, BBT, CVC, CHK, DRI, EMN, EW, MRO, NBL, PEET, RIMM, RBS, SLM, URBN)" href="http://247wallst.com/2012/02/03/top-analyst-upgrades-downgrades-apa-bbt-cvc-chk-dri-emn-ew-mro-nbl-peet-rimm-rbs-slm-urbn/">analyst upgrades and downgrades today</a>, including Marathon Oil Corp. (NYSE: MRO) cut to ‘hold’ at Argus; Peet’s Coffee &amp; Tea Inc. (NASDAQ: PEET) raised to ‘outperform’ at Baird; Research in Motion Ltd. (NASDAQ: RIMM) cut to ‘underperform’ at Jefferies; Urban Outfitters Inc. (NASDAQ: URBN) raised to ‘buy’ at Janney Capital; and Chesapeake Energy Corp. (NYSE: CHK) started as ‘neutral’ at Credit Suisse.</p>
<p>Earnings reports since markets closed last night have led to some price changes as of the last half hour of trading today: Gilead Sciences Inc. (NASDAQ: GILD) is up more than 11% at $54.83 after posting a new 52-week high of $54.90 earlier (see our coverage <a title="Gilead, Idenix Slug it Out (GILD, IDIX)" href="http://247wallst.com/2012/02/03/gilead-idenix-slug-it-out-gild-idix/">here</a>); Genworth Financial Inc. (NYSE: GNW) is up more than 13% at $9.12; PC Connection Inc. (NASDAQ: PCCC) is down nearly -20% at $10.22; Novellus Systems Inc. (NASDAQ: NVLS) is down -0.73% at $48.98, but posted a new 52-week high of $49.92 earlier in the day; PerkinElmer Inc. (NYSE: PKI) is up more than 6% at $26.21; Beam Inc. (NYSE: BEAM) is up 2.4% at $54.28; Estee Lauder Cos. Inc. (NYSE: EL) is down -3.64% at $56.71 (more coverage <a title="Estee Lauder Falls on Increased Ad Spending (EL)" href="http://247wallst.com/2012/02/03/estee-lauder-falls-on-increased-ad-spending-el/">here</a>); and Weyerhaeuser Co. (NYSE: WY) is up more than 5% at $21.19.</p>
<p><strong>Other standouts from today include the following stocks:</strong></p>
<p>Threshold Pharmaceuticals Inc. (NASDAQ: THLD) is up nearly 115% at $2.77. The pharmaceuticals firm has announced a global development deal with Germany’s Merck.</p>
<p>Tudou Holdings Ltd. (NASDAQ: TUDO) is up nearly 19% at $16.66. The Chinese online video company has signed a deal with Sina Corp. (NASDAQ: SINA) to provide a video platform for Sina Weibo, a Twitter-like social site.</p>
<p>Zoltek Cos. Inc. (NASDAQ: ZOLT) is up nearly 39% at $13.14. The specialty fibers maker posted good earnings number and forecast continued growth in the market for wind turbines which use its carbon fibers in blade construction.</p>
<p>STR Holdings Inc. (NASDAQ: STRI) is down nearly -20% at $9.08. The company manufactures materials used in solar PV modules, and lowered its fourth-quarter guidance this morning.</p>
<p>Mannkind Corp. (NASDAQ: MNKD) is down nearly -13% at $2.15 after posting a new 52-week low of $2.14 earlier. The biotech company has priced its public offering of units containing one share of stock and warrant to purchase another 0.6 shares. <p>We are tracking and previewing earnings reports due in shares of Beam Inc. (NYSE: BEAM); Clorox Co. (NYSE: CLX); Estee Lauder Companies (NYSE: EL); Simon Property Group Inc. (NYSE: SPG); and Tyson Foods Inc. (NYSE: TSN).  We have included estimates from Thomson Reuters and added color in on each.</p>
<p>Beam Inc. (NYSE: BEAM) is set to report Friday morning and estimates are $0.67 EPS and $653.36 million in sales.  This one has been a bit difficult for many investors to predict since the reorganization last year but shares have recovered some 15% since October.</p>
<p>Clorox Co. (NYSE: CLX) is due to report and estimates are $0.69 EPS and $1.2 billion in sales.  For just how relevant this one is, it is not even 10% of the size of P&amp;G when it comes to revenues. This one remains expensive in valuation and its dividend yield is about 3.3%.</p>
<p>Estee Lauder Companies (NYSE: EL) is still close to a 52-week high, so investors need to watch closely here.  Estimates are $1.01 EPS and $2.75 billion in sales. That is a lot of beauty products. Unfortunately, this one has a dividend yield of less than 1%.</p>
<p>Simon Property Group Inc. (NYSE: SPG) Is expected to report $1.90 EPS on $1.16 billion in sales.  Keep in mind that REITs are FFO rather than EPS.  The stock trades at a premium to peers for its premium shopping mall properties.  The dividend yield here is only about 2.6% and shares hit a new year and all-time high on Thursday.</p>
<p>Tyson Foods Inc. (NYSE: TSN) is expected to report $0.34 EPS on $8.3 billion in sales.  Next quarter  estimates are $0.45 EPS and $8.5 billion in sales.  At $18.60, its 52-week range is $15.60 to $21.06 and its dividend yield does not even hit 1% currently.</p>
