The social media hype around the Facebook IPO is driving many shares in the sector of online social media. Some of the Halo-effect may not even be deserved, and this has all the ingredients of another bubble in the making even if it is nowhere near fully inflated. Take a look at the Global X Social Media Index ETF (NASDAQ: SOCL), which closed up yet another 2% at $14.89 on 176,000 shares on Thursday. This marked the fifth consecutive day of gains and on the fifth consecutive day of higher trading volume as you will see below:

Feb 01 traded 125,300 shares and closed at $14.59

Jan 31 traded 58,300 shares and closed at $14.25

Jan 30 traded 33,400 shares and closed at $14.28

Jan 27 traded 16,200 shares and closed at $14.20

Jan 26 traded 400 shares and closed at $13.50

Jan 25 traded 1,300 shares and closed at $13.59

We said it before and we will say it again… This ETF owns no shares of Facebook as of yet. It will have to after the Facebook IPO but it does not now. Interpublic Group of Companies, Inc. (NYSE: IPG) owns shares but barely rose today. Affiliates of Goldman Sachs Group Inc. (NYSE: GS) own shares, and Microsoft Corporation (NASDAQ: MSFT) owns shares. The social media company only has a halo-effect around the theme of social media.

Facebook is and was one of our Top 17 IPOs For 2012, but so was Twitter, Living Social and Yelp.

LinkedIn Corporation (NYSE: LNKD) closed up 6.4% at $76.98 solely on being a rival and Zynga Inc. (NASDAQ: ZNGA) rose 16% to $12.39 due to its being north of 10% of Facebook’s revenues.

What is so funny is that even FriendFinder Networks Inc. (NASDAQ: FFN), the adult-themed social networking site and one of the worst IPOs of modern time, rose solely because of the social media halo. That gain was 16% to $1.33 against a 52-week range (actually under a year) of $0.51 to $10.01.

The one business development company which does own Facebook shares is GSV Capital Corporation (NASDAQ: GSVC). Its shares have risen since the impending filing was telegraphed last Friday and the stock rose by over 7% to $18.51 today.

This is called the Halo-effect if there ever was one.

Facebook, Inc. has now filed its paperwork with the SEC which will allow the social networking giant to conduct an initial public offering. It should be no real surprise that financial terms were not disclosed. The filing is for an offering of up to a whopping $5 billion in common stock and that figure may change before the actual IPO. The offering appears to include shares from the company and shares from selling holders. Facebook is the top spot in the 24/7 Wall St. Top 17 IPOs of 2012.

While Facebook has said that it is choosing the “FB” stock ticker, it did not specify whether or not the NYSE or NASDAQ would get the listing. Keep in mind that Mark Zuckerberg is where the buck stops if you evaluate the share structure.

Be advised that there is a dual-class of stock with A shares and B shares. Each share of Class A common stock is entitled to one vote per share. Each share of Class B common stock is entitled to ten votes per share and is convertible at any time into one share of Class A common stock.

The underwriting group is as follows: lead book-runners are Morgan Stanley, J.P. Morgan, and Goldman Sachs; co-managers are BofA/Merrill Lynch, Barclays Capital, and Allen & Company.

BASIC STATS:

845 million monthly active users,

2.7 billion likes and comments per day,

250 million photos uploaded per day,

and 100 billion friendships.

The company also has 483 million daily active users.

It also had roughly 3200 employees as of December 31.

Microsoft Corporation (NASDAQ: MSFT) is listed as a competitor and it is an owner, while Google Inc. (NASDAQ: GOOG) is not an owner and is listed as a key competitor. Twitter is competitor. As a reminder, GSV Capital Corporation (NASDAQ: GSVC) is an owner of stock as well. Interpublic Group of Companies, Inc. (NYSE: IPG) still owns a small stake as well.

We are now finally getting to see at least some of the preliminary figures from Facebook to use for financial analysis:

2009 revenues $777M, $122M net income for shareholders;

2010 revenues $1.974B, $372M net income for shareholders;

2011 revenues $3.711B, $668M net income for shareholders.

The company’s cash and marketable securities at the end of 2011 was $3.908 billion.

Zynga Inc. (NASDAQ: ZNGA) accounted for about 12% of 2011 total revenues for Facebook.

Mark Zuckerberg owns 28.4% of the total voting power, but he has a proxy over insider shares that gives him 56.9% of the total voting power. Other big holders are James Breyer at 11.4% and Peter A. Thiel at 2.5%. Large Class B share holders (1 million or more shares) are Sheryl Sandberg, David Ebersman, Mike Schroepfer. Theodore Ullyor, Marc Andreesson…

T. Rowe Price Associates, Inc. (NASDAQ: TROW) owns over 6 million class A shares and affiliates of Goldman Sachs Group Inc. (NYSE: GS) own over 65.9 million Class A shares.

As of December 31, 2011 there were outstanding:

117,097,143 shares of our Class A common stock held by approximately 110 stockholders;

1,758,902,390 shares of our Class B common stock held by approximately 1,070 stockholders;

258,539,434 shares issuable upon exercise of outstanding stock options;

378,772,184 shares subject to outstanding restricted stock units (RSUs).

RISK FACTORS AS FOLLOWS:

“If we fail to retain existing users or add new users, or if our users decrease their level of engagement with Facebook, our revenue, financial results, and business may be significantly harmed;”

“We generate a substantial majority of our revenue from advertising. The loss of advertisers, or reduction in spending by advertisers with Facebook, could seriously harm our business;”

“Growth in use of Facebook through our mobile products, where we do not currently display ads, as a substitute for use on personal computers may negatively affect our revenue and financial results;”

“Facebook user growth and engagement on mobile devices depend upon effective operation with mobile operating systems, networks, and standards that we do not control;”

“We may not be successful in our efforts to grow and further monetize the Facebook Platform;”

“Our business is highly competitive, and competition presents an ongoing threat to the success of our business;”

“Improper access to or disclosure of our users’ information could harm our reputation and adversely affect our business;”

“Our business is subject to complex and evolving U.S. and foreign laws and regulations regarding privacy, data protection, and other matters. Many of these laws and regulations are subject to change and uncertain interpretation, and could harm our business;”

“Our CEO has control over key decision making as a result of his control of a majority of our voting stock;”

“The loss of Mark Zuckerberg, Sheryl K. Sandberg, or other key personnel could harm our business;”

“We anticipate that we will expend substantial funds in connection with tax withholding and remittance obligations related to the initial settlement of our restricted stock units (RSUs) approximately six months following our initial public offering;”

“The market price of our Class A common stock may be volatile or may decline, and you may not be able to resell your shares at or above the initial public offering price;”

“Substantial blocks of our total outstanding shares may be sold into the market as “lock-up” periods end, as further described in “Shares Eligible for Future Sale.” If there are substantial sales of shares of our common stock, the price of our Class A common stock could decline.”

Again, the Top 17 IPOs to Watch in 2012 is here.

The Reuters/University of Michigan Consumer Sentiment Index rose more than expected, but even that was not enough to charge up investors. In the early afternoon, advances were leading declines on the NYSE, while the status was just the reverse on NASDAQ. Both oil and gold prices were slightly lower after rising sharply yesterday. So far this month, markets are up a solid 13%.

The unofficial closing bells put the DJIA up nearly more than 21 points to 12,230.35 (0.18%), the NASDAQ fell about -1.5 points (-0.05%) to2,737.15, and the S&P 500 rose 0.03% or about 0.47 points to 1,285.06.

There were several analyst upgrades and downgrades today, including a raise for Advanced Micro Devices Inc. (NYSE: AMD) to ‘outperform’ at Wells Fargo. First Solar, Inc. (NASDAQ: FSLR) was maintained at ‘buy’ but the target price was cut to $90 at Argus; Potash Corp. of Saskatchewan Inc. (NYSE: POT) cut to ‘sector perform’ at Scotia; Pan American Silver Corp. (NASDAQ: PAAS) cut to ‘sector perform’ at CIBC; Sprint Nextel Corp. (NYSE: S) raised to ‘outperform’ at Macquarie; and Occidental Petroleum Corp. (NYSE: OXY) raised to ‘outperform’ with a new target price of $135 at Credit Suisse.

Here are today’s big post-earnings news reactions with prices during the last half-hour of trading: Chevron Corp. (NYSE: CVX) is up 0.3%, at $109.99, two pennies short of a new 52-week high; Coinstar, Inc. (NASDAQ: CSTR) is down about -7.6%, at $48.91; Merck (NYSE: MRK) is up 2.3%, at $35.10; Baidu, Inc. (NASDAQ: BIDU) is up 4.33% (our coverage here), at $144.38; Weyerhaeuser Co. (NYSE: WY) is up 1.6%, at $18.23; and The Interpublic Group of Companies, Inc. (NYSE: IPG) is up 11.6%, at $9.94 (our coverage here).

Several other standouts from today follow …

Stillwater Mining Co. (NYSE: SWC) is up more than 27%, at $12.65. The company beat earnings estimates this morning, and has reiterated its production estimates for platinum and palladium for 2011. Stillwater recycled 133,500 ounces of platinum, palladium, and rhodium in the third quarter, up 70% from the same period a year ago.

Align Technology, Inc. (NASDAQ: ALGN) is up more than 34%, at $23.94. The company posted solid earnings for the third quarter and announced a $150 million stock buyback program. Align manufactures and sells Invisalign teeth straightening products.

Stamps.com Inc. (NASDAQ: STMP) is up more than 25%, at $32.48 — a new 52-week high — following an outstanding earnings report. Stamps.com raised its non-GAAP EPS estimate for the second time this year, to $1.20-$1.40. The company originally estimated non-GAAP EPS of $0.85-$1.05.

Computer Programs and Systems Inc. (NASDAQ: CPSI) are down more than -28%, at $51.10. The company missed both revenue and EPS estimates for the quarter, and the fourth-quarter outlook is also weak. The company’s $1.44/share dividend takes some of the sting out of the poor results.

Spansion Inc. (NYSE: CODE) is down more than -25%, at $10.46, after posting a new 52-week lower earlier today of $9.17. The company released a weaker fourth-quarter forecast and announced the closure of its plant in Kuala Lumpur as part of its effort to cut costs.

Digital River Inc. (NASDAQ: DRIV) is down more than -19%, at $18.52. The company’s third-quarter earnings were short of expectations and the fourth-quarter forecast was lowered.

Two of the world’s largest advertising agencies reported earnings this morning, and while the reports are good, the outlook for the current quarter is soft. Things are expected to get better in 2012, with major events like the London Olympics helping to boost ad spending. And of course there’s that ad-buying booster known as a US presidential election.London-based WPP plc (NASDAQ: WPPGY) reported revenue growth of 9% for the third quarter, compared with the third quarter of 2010.

Interpublic Group of Companies, Inc. (NYSE: IPG) reported EPS of $0.16, sharply above the consensus estimate of $0.10, on revenue of $1.73 billion, again higher than expectations of $1.64 billion. Omnicom Group Inc. (NYSE: OMC) and Paris-based Publicis Groupe SA (OTC: PUBGY) reported solid earnings last week. But all these companies are really looking past the fourth quarter, which all believe will be weak.

Interpublic’s earnings did not include about $132 million the company received from a private sale in August of about half the stock it held in Facebook. The buyer was not identified.

Interpublic also reiterated its outlook that revenue would grow by 4%-5% for the full year and that the company’s operating margin would be around 9.5%. WPP expects revenue growth for 2011 to be 5% and operating margin to reach 11%, up about 0.7% over 2010..

WPP notes the general state of the ad business this way: “Advertising as a proportion of GDP remains at depressed levels in mature markets post-Lehman and the faster growth markets remain under-branded and under-advertised.” Translated, that means going after markets in Brazil and China and other fast-growing developing economies. The company now expects to get 35%-40% of its revenues from the developing world, up from about 30% currently.

Online and mobile advertising is expected to grow by nearly 10% annually over the next five years. WPP said that it received 29% of its revenue from digital and interactive sources in the first nine months of the year.

That growth comes at the expense of print media, where ad spending continues to fall. Gannett Co. Inc. (NYSE: GCI) said that ad revenue for its newspapers fell -8.5% in the third quarter and The New York Times Co. (NYSE: NYT) reported a print advertising drop of -10% in the third quarter. Even though the Times got a boost from its online subscriber revenue and a boost in its online ad revenues, the percentage growth does not make up for the percentage losses in print advertising because the print chunk is so much larger.

WPP shares are up slightly in the first half-hour of trading this morning, to $55.08, in a 52-week range of $43.98-$69.50. Interpublic shares are up more than 14%, to $10.16, in a 52-week range of $6.73-$13.75.

The pace of stock buyback announcements in the month of August was almost unbelievable. The pace was stronger at the start of the month when earnings were still coming in droves, but the number of newly announced buyback plans and the extended or expanded buyback plans remained high throughout the entire month. Many companies announce share buybacks and never spend much on the actual plan. Today, these companies are by and large actually living up to their promises. These are The August Buyback Kings….

We would normally group these alphabetically, but not today. We grouped these in order of size and then we used an alphabetic order when it came to the same size of a buyback announcement. The first group is the billions of dollars.

We then grouped the stocks by size again from the under $1 billion down to $500 million, and then we grouped the buybacks of under $500 million down to $200 million. Usually we would cut the list off at buybacks of the $100 million and higher but the list was already too big so we cut the Buyback Kings off at $200 million for August. Lastly, we have a chart at the very end tallying it all up…. Some $28.7 billion for just the $200 million and higher in new or expanded buyback announcements. There were literally dozens of other buybacks that were closer to the $100 million mark and many more that were less than that.

The $1 billion and higher alone which were announced in August were as follows: Lowe’s Companies, Inc.
Some of the larger and more impacting buyback announcements have been made by the following companies: Principal Financial Group Inc. (NYSE: PFG); Progressive Waste Solutions Ltd. (NYSE: BIN); Cliffs Natural Resources Inc. (NYSE: CLF); Life Time Fitness Inc. (NYSE: LTM); AECOM Technology Corp. (NYSE: ACM); Forest Laboratories Inc. (NYSE: FRX); Interpublic Group of Companies, Inc. (NYSE: IPG); Myriad Genetics Inc. (NASDAQ: MYGN); Republic Services, Inc. (NYSE: RSG); Lorillard, Inc. (NYSE: LO); Newell Rubbermaid Inc. (NYSE: NWL); and TiVo Inc. (NASDAQ: TIVO).

By now you already know that the attitude of 24/7 Wall St. is that dividends offer better long-term value than buybacks. We have shown what the dividend yield is for each here, or we have shown that there is no dividend.

Principal Financial Group Inc. (NYSE: PFG) announced that its board of directors has authorized a share buyback plan for up to $200 million in common stock. This represents about 8.5 million shares at current prices when average daily volume is 2.7 million shares. Its market cap is about $7.4 billion. The dividend yield is roughly 2.3% as of today.

Progressive Waste Solutions Ltd. (NYSE: BIN), also referred to as BFI Canada, announced a buyback of up to 4 million shares of common stock. That is about $80 million at today’s price. The market cap is $2.5 billion and the average daily volume is about 428,000 shares. The dividend yield is listed as being about 2.5%.

Cliffs Natural Resources Inc. (NYSE: CLF) has announced the authorization to buy back up to 4 million shares, close to $300 million in total per today’s dollars. The market cap is nearly $11 billion and the average volume is 3.7 million shares. The company’s dividend yield is only 1.5%.
