Csquare, Inc. has updated its S-1/A filing with the SEC for a second time, setting a price range of $23 to $27 per share and looking to sell 50 million shares in its NYSE debut under the ticker CSQR. At the midpoint of that range, the deal would value the offering at $1.25 billion, making it a sizable transaction by any measure.
The bookrunning syndicate is led by three of Wall Street's heaviest hitters — Morgan Stanley, J.P. Morgan, and BofA Securities — a lineup that typically signals institutional demand and distribution muscle. The fact that Csquare is amending its terms a second time suggests the company and its bankers are still calibrating the deal to match where investor appetite actually sits.

With no final price set yet, the next milestone to watch is the formal pricing night, when the company and underwriters lock in the share count and per-share price ahead of the first day of trading. Any further revisions to the range would require another amended filing with the SEC.
