Bitari files S-1 for a $30 million Nasdaq IPO at $7 a share

Bitari filed its S-1 to list on Nasdaq, offering 4,285,715 shares at a fixed $7 for roughly $30 million. A single price with no range means the terms are already set, so the only real question left is whether US Tiger Securities can fill the book.

Bitari Inc has filed an S-1 with the SEC to list on Nasdaq at a fixed price of $7 per share. That single price point, with no range, means the company has already set its terms rather than entering a traditional roadshow process where institutional feedback shapes the final number.

A fixed-price offering skips the price discovery phase that most IPOs go through, which compresses the timeline but also shifts nearly all the demand risk onto the underwriter. In this case, that responsibility falls to US Tiger Securities, which must demonstrate it can fill the entire book at exactly $7.

The deal is sized at roughly $30 million, which places Bitari firmly in small-cap territory. Offerings at this scale often attract a different buyer profile than larger IPOs, with retail participation playing a more meaningful role alongside the institutional allocation.

Because the price is already locked and no final pricing date has been announced, the key remaining milestone is whether the offering closes fully subscribed. If US Tiger Securities cannot fill the book, the deal structure leaves little room to adjust terms as a ranged offering would.
