CBIZ Misses on Both Lines as Grant Thornton Buyout Nears Close
As seen on the 24/7 Wall St. homepage on October 19, 2026.
First miss on both lines after eight quarters of beats, and management skipped guidance and the conference call entirely because the $55.00-per-share cash takeout by Grant Thornton is set to close this quarter. For holders, the quarter is a footnote: the stock now trades on deal mechanics.

CBIZ posted its first double miss in nine quarters for Q3 2026, with adjusted diluted EPS of $1.21 missing expectations. After eight straight quarters of beating on both lines, the streak is over, though the circumstances make the numbers almost beside the point.
The reason management did not host a conference call or issue full-year guidance is straightforward: Grant Thornton, backed by New Mountain Capital, has agreed to acquire CBIZ in an all-cash deal at $55.00 per share, representing a roughly $5.0 billion enterprise value. With the transaction announced July 29, 2026, and closure expected in Q4 2026, CBIZ is effectively operating as a soon-to-be-private company. The stock now trades on deal mechanics rather than quarterly fundamentals.
The underlying business improved: GAAP net income rose 56.7% year over year to $47.24 million on lower Marcum Transaction integration costs and reduced interest expense. Adjusted EBITDA margin also expanded, moving to 18.8% from 17.9%.
The two reporting segments, Financial Services and Benefits and Insurance Services, both grew modestly, with Financial Services revenue up 1.2%. Neither number is likely to drive investor decisions at this stage, given the pending transaction.
For current holders, the practical question is whether the deal closes on time and on terms. The transaction still requires CBIZ shareholder approval and regulatory clearance, and the company has flagged a previously disclosed material weakness in internal controls as an ongoing risk factor. Until the closing conditions are satisfied, the $55.00 per share takeout price is the number that matters most.
