Guidance is gone and investor calls are suspended, so this quarter is the last clean look shareholders get before the Nielsen-parent merger closes by Q1 2027. Revenue rose 9% year over year on social and CTV strength, while adjusted earnings missed expectations. With 94% of votes already cast in favor, the deal sets the stock from here.

DoubleVerify posted Q3 2026 revenue of $205.6 million, up 9% year over year and beating the consensus estimate, with social measurement and connected TV the clearest growth engines heading into the merger.

Adjusted non-GAAP EPS came in at $0.25, missing expectations of $0.26. Part of that shortfall traces to $2.85 million in merger transaction costs tied to the Neptune BidCo deal, expenses that would not exist in a standalone quarter.

Profitability strengthened beneath the EPS headline: adjusted EBITDA expanded to $75.4 million, lifting the margin to 37% from 35% a year earlier.

With roughly 94% of shareholder votes already cast in favor of the acquisition at an October special meeting, DoubleVerify has withdrawn all financial guidance and suspended investor calls entirely. Stakeholders are being directed to press releases and regulatory filings as the only official communications channel until the deal closes.

The merger with Neptune BidCo, the parent of The Nielsen Company, is targeted to close by the first quarter of 2027, subject to customary closing conditions. This Q3 report is the last full set of comparable operating data shareholders will see before the company exits public markets.
