ESAB Q3 2026: Revenue Beats but Acquisition Debt Clips Earnings
As seen on the 24/7 Wall St. homepage on November 4, 2026.
Earnings missed expectations despite the revenue beat, because acquisitions supplied 10.6 of the 13.3 percentage points of sales growth and the debt behind them pushed interest expense to $36.51 million. Management cut full-year core adjusted EPS guidance to $5.28 to $5.33 and trimmed organic growth to 1.6% to 2.0%.

ESAB's third quarter of fiscal 2026 produced a split result that illustrates the tension running through its acquisition-led growth strategy. Sales of $824.52 million cleared the $786.67 million consensus by 4.81%, while core adjusted EPS of $1.30 came in missing expectations of $1.33 by 2.01%.
The revenue beat carries an important asterisk. Of the 13.3% year-over-year sales increase, acquisitions supplied 10.6 percentage points, with organic growth contributing only 1.9 points. That means the underlying business, stripped of deals, is growing at a modest pace, a detail that matters as investors weigh whether the acquisition premium is earning its keep.
The debt taken on to finance the Eddyfi and EWM deals is now showing up clearly in the income statement. Interest expense rose to $36.51 million in the quarter, up from $23.58 million a year ago. That drag, combined with $39.90 million in acquisition-related amortization and $11.30 million in restructuring charges, pushed GAAP operating income down 13.77% and net income down 29.04% year over year.

Management responded by trimming its full-year outlook on multiple fronts. Core adjusted EPS guidance was cut to $5.28 to $5.33, down from a prior range of $5.40 to $5.50, and core organic growth was lowered to 1.6% to 2.0% from the prior 2.0% to 4.0%. Core adjusted EBITDA guidance also moved lower, to $603 million to $607 million from $615 million to $625 million.
On the brighter side, core adjusted EBITDA of $156.10 million carried a margin of 19.8%, up 40 basis points, and adjusted core gross profit margin expanded to 40.2% from 37.7% a year ago. CEO Shyam P. Kambeyanda pointed to cross-selling momentum between ESAB and Eddyfi as a potential growth lever, noting customer response at the Fabtech trade show was "overwhelmingly positive." Whether that early commercial traction translates into organic acceleration is the key question heading into the fourth quarter.
