Integration costs for the Pacific West deal buried the quarter: $2.5 million in merger expenses pushed EPS below expectations even as revenue topped consensus. Management says most of the remaining conversion costs land in the fourth quarter, so a clean quarter is still two reports away.

FS Bancorp's third quarter was cleaved in two by the Pacific West Bancorp acquisition: revenue came in above the consensus estimate, a genuine operational beat, but merger-related expenses dragged GAAP diluted EPS to $0.63, missing expectations by 43.07%.

The Pacific West deal closed August 19 and immediately reshaped the balance sheet, adding $476.5 million in assets and deposits alongside it. That scale drove net interest margin expansion to 4.36% while the average cost of funds fell year-over-year, constructive signals for the core franchise even as total assets grew to $3.68 billion.

Total noninterest expense surged 27% year-over-year, pushing the efficiency ratio sharply higher from a year earlier. The Home Lending segment swung to a net loss of $806,000 as rising interest rates reduced saleable mortgage production, and nonperforming assets as a share of total assets rose sequentially.

The systems integration for Pacific West was completed October 5, and management has signaled that the remaining conversion costs will land in the fourth quarter. That means another noisy quarter is effectively baked in before the combined franchise can demonstrate what the deal is actually worth on a clean run-rate basis.

On the capital return side, the board declared a $0.29 per share quarterly dividend, the 55th consecutive such payment, to be paid November 20 to shareholders of record as of November 6. The company also repurchased 44,664 shares during the quarter, while tangible book value per share stood at $40.84, down sequentially but up from a year ago.
