The $12.9 billion Lhoist deal is cutting both ways: record revenue beat expectations, but quarterly interest expense of $138 million pushed adjusted earnings to miss expectations. Management set full-year revenue guidance at $7.75 billion to $7.85 billion, betting acquisition volume outruns softer heritage operations.

Martin Marietta Materials reported Q3 2026 revenue of $2.37 billion, a 28.3% jump from the prior year that beat expectations against a $2.31 billion consensus. That top-line surge was largely the product of the company's $12.9 billion combination with Lhoist North America, completed on August 21, which added $216 million in revenue from the moment it closed through quarter-end.

Adjusted EPS of $5.47 came in missing expectations against the $5.71 estimate, with $138 million in quarterly interest expense doing most of the damage. That figure was more than double the prior year's $59 million, a direct consequence of the $7 billion in debt Martin Marietta took on to fund the Lhoist deal. GAAP diluted EPS from continuing operations landed at $3.94, further weighed down by $99 million in acquisition, divestiture and integration charges.

The Lhoist acquisition also reshaped the company's segment mix almost overnight. The new Specialties segment posted $362 million in revenue, a 176% increase, while aggregates shipments rose 15.9% to 67.1 million tons. However, acquired operations carry lower selling prices than Martin Marietta's legacy business, pushing reported aggregates average selling price down 3.6% and causing aggregates gross profit to slip 4% to $512 million as energy and input costs added further pressure.

Management updated its full-year 2026 guidance to revenues of $7.75 billion to $7.85 billion and adjusted EBITDA of $2.45 billion to $2.50 billion, with acquisition contributions expected to more than offset softer results from heritage operations. CEO Ward Nye noted that disciplined inventory management and capital spending reductions contributed over $290 million of year-to-date cash flow improvement, and that January 1 pricing actions are designed to restore a positive price-cost relationship in 2027.

Looking further ahead, management guided for mid- to high-single-digit mix-adjusted aggregates pricing in 2027 and cited continued strength in infrastructure and data center construction as tailwinds. The key risk investors will be watching is whether acquired Lhoist assets can ramp toward Martin Marietta's pricing levels quickly enough to service the $398 million to $408 million in net interest expense now embedded in the full-year outlook.
