Penske Corporation and Mitsui are taking Penske Automotive private at $212 per share, with closing targeted for Q1 2027, which matters more than the beat on both lines. No earnings call, no guidance, and buybacks are frozen while the deal is pending. Deal risk sets the trading range from here.

Penske Automotive posted Q3 2026 GAAP EPS of $3.36, beating expectations on both earnings and revenue. Those are clean numbers, but the operational story is a footnote to what is actually moving the stock.

Penske Corporation and Mitsui are buying out all remaining public shareholders at $212 per share, with the deal targeting a close in Q1 2027, subject to stockholder and regulatory approvals. The $212 offer price is now the anchor for the trading range: shares will track deal confidence until that transaction closes or falls apart.

The merger agreement has real teeth: if the deal is terminated under certain conditions, Penske Automotive owes a $383 million termination fee. Share repurchases are frozen for the duration, and there was no earnings call and no financial guidance provided.

Inside the quarter, Retail Commercial Truck was the standout segment, with revenue rising 22.3% year over year. The broader Retail Automotive segment grew far more slowly, with gross margin compressing, and the results also absorbed deal-related transaction costs.

Penske did raise its quarterly dividend to $1.46 per share, payable December 1, 2026. For investors still holding shares, the $212 offer price and Q1 2027 close timeline are now the only numbers that matter.
