The quarter barely matters now: with an affiliate of BRC Group Holdings buying the company at an implied $5.22 per share, Sangoma skipped the earnings call and suspended fiscal 2027 guidance entirely. Shareholders vote in December, with closing and a TSX and Nasdaq delisting targeted for January.

Sangoma Technologies reported first-quarter fiscal 2027 revenue of $50.06 million, edging past the $49.89 million consensus by about 0.34%. That narrow beat came with an asterisk: a 15% jump in product revenue was driven by one-time purchases of legacy connectivity hardware following an end-of-life announcement, while service revenue slipped 2% year over year. Overall revenue was still down 15.3% compared to the same period a year earlier.

On the bottom line, Sangoma posted a GAAP loss of $0.09 per share, missing the $0.05 consensus estimate. The result included amortization of intangibles and restructuring and business integration costs tied to legacy inventory write-downs and headcount reductions. Free cash flow of $6.93 million was a relative bright spot, up 115% from the prior-year quarter.

The financials are largely academic given what is happening off the income statement. An affiliate of BRC Group Holdings is acquiring Sangoma at an implied $5.22 per share, structured as $4.925 in cash plus 0.04767 of a BRC share per Sangoma common share. Management held no earnings call and suspended all fiscal 2027 financial guidance, citing the pending transaction. CEO Charles Salameh said the company looks forward to joining BRC to expand its platform's reach and accelerate its next phase of growth.

Shareholders will vote on the deal at a special meeting in December 2026, with closing expected in January 2027. Upon closing, Sangoma intends to delist its common shares from both the TSX and Nasdaq. The transaction remains subject to shareholder, court, and regulatory approvals, as well as other customary closing conditions. Investors still holding shares are essentially waiting on a deal vote rather than any future earnings catalyst.
