Australia's tightening immigration rules for international students triggered a $134.1 million non-cash impairment of goodwill and intangibles tied to Torrens University, the company's flagship ANZ brand. That single charge was large enough to swing the quarter to a GAAP diluted loss of $4.68 per share, even as the underlying business continued to generate positive adjusted earnings.

Stripped of one-time items, adjusted diluted EPS came in at $1.72, missing the $1.95 consensus estimate. Revenue of $325.1 million grew 1.6% year over year but landed just under the $326.7 million expectation. On a constant-currency basis, revenue was essentially flat, up only 0.1%, meaning favorable foreign exchange rates were doing most of the reported growth work.

The Australia and New Zealand segment bore the brunt of the damage. ANZ enrollment fell 9.1%, driven by a pullback in international student intake following regulatory changes in Canberra. Management has warned that further impairment of ANZ goodwill and indefinite-lived intangible assets remains possible if immigration conditions do not ease, leaving an open-ended risk on the balance sheet.

The domestic picture was more encouraging. Education Technology Services revenue rose 11.9%, powered by Sophia Learning, where average total subscribers grew roughly 22% year over year and revenue climbed 19.8%. Healthcare enrollment in U.S. Higher Education expanded 9% and now accounts for 54% of domestic headcount, while employer-affiliated enrollment rose to 34.7% of the USHE mix from 32.7% a year earlier.

Capital return activity remained active despite the headline loss. The company repurchased 347,472 shares for $28.5 million during the quarter and 1,261,201 shares for $101.3 million through the first nine months of 2026. A regular quarterly cash dividend of $0.60 per share was declared, with a record date of November 30 and a payment date of December 7, 2026.

The key variable to track going forward is whether Australian immigration policy stabilizes or tightens further. With management already flagging the possibility of additional ANZ impairment and total assets down 7.3% year over year to $1.96 billion, the size of any future charge will depend heavily on how quickly international enrollment recovers at Torrens.
