Veri MedTech fixes IPO at $4 for a $15 million Nasdaq raise
Seven amendments in, Veri MedTech has locked its terms at a flat $4 a share for 3.75 million shares, a $15 million Nasdaq raise with Network 1 Financial Securities as sole underwriter. A fixed price and a single small underwriter mean this deal either clears at $4 or does not clear at all.

Veri MedTech Holdings is offering shares at a fixed $4 each, leaving no room for the bookbuilding flexibility a traditional range would provide. After seven amendments to its filing, the terms are final in a literal sense: the deal raises $15 million or it does not happen at all.
Network 1 Financial Securities is the sole underwriter, an arrangement that concentrates all distribution responsibility in a single firm. Larger IPOs typically spread that risk across a syndicate of banks, so a lone underwriter on a $15 million deal signals this is a small, tightly controlled offering aimed at a specific investor base rather than a broad institutional roadshow.

Priced as a single point rather than a range, the offering has no mechanism to adjust for demand, so if buyers do not materialize at exactly $4, the deal fails outright. Seven rounds of amendments suggest the company and its underwriter already worked through significant negotiation to reach these terms.
Investors keeping an eye on the stock should note that the Nasdaq listing is still pending a final pricing confirmation, since no final price has been recorded yet. The path from a fixed-price amended filing to an actual trading debut is the next milestone to watch.
