Trian, Flynn Group, BlueFive Capital, and Sixth Street have submitted a nonbinding offer to acquire Wendy's for $7.35 per share in cash.

Because the offer is nonbinding, it carries no obligation for either side. It does, however, establish $7.35 as the reference price that shareholders and the market will trade against while the Wendy's board decides how to respond.

The board's reaction is the next catalyst. A formal rejection, a request for a higher bid, or an invitation to conduct due diligence would each send a different signal about where this deal goes from here.

Until the board responds, the $7.35 offer price functions as a ceiling in the market's eyes. Any premium discussion depends entirely on whether competing interest emerges or the consortium raises its number.
