Did LYV Beat Earnings? Q3 2025 Results
Live Nation Entertainment posted a headline miss in Q3 2025, with GAAP diluted EPS of $0.73 falling roughly 51% short of the $1.49 consensus estimate, even as the live entertainment giant grew revenue 11.1% year-over-year to $8.50 billion, narrowly below the $8.63 billion Wall Street had penciled in. The EPS shortfall was not a reflection of weak demand but rather a confluence of accounting charges, most notably a $259.85 million accretion charge tied to redeemable noncontrolling interests and a sharply higher tax bill of $251.84 million versus $70.23 million a year ago. Operationally, the quarter was arguably the strongest in company history, with the Concerts segment hosting over 51 million fans, stadium show counts surging 60% globally, and adjusted operating income reaching $1.03 billion, up 14%. Management maintained its outlook for double-digit operating income and AOI growth in 2025, with the company tracking toward approximately 160 million fans for the full year and early 2026 indicators, including 26 million tickets already sold, pointing to continued momentum.
- Record stadium show count, up 60% globally
- Over 51 million fans hosted in Q3, with stadium fan count up double-digits in all major markets
- Fee-bearing GTV up 12% driving Ticketmaster AOI growth of 21%
- International market growth led by Europe and Mexico both up double-digits
- Fan spending onsite continues to grow: amphitheaters up 8%, major festivals up 6% YTD
- Addition of several new strategic sponsorship partnerships driving 14% increase in strategic partners
- 89 million fee-bearing tickets in Q3, up 4%
“Strong fan demand drove another record quarter, as we continue to attract more fans to more shows globally. With these tailwinds, 2026 is off to a strong start with a double-digit increase in our large venue show pipeline and increased sell-through levels for these shows. At the same time, we're continuing to invest in new venues to grow the market, create jobs, and give artists even more ways to reach fans, positioning Live Nation on a clear path for double-digit operating income and AOI growth this year and compounding at this growth level over the next several years.”

Forward Guidance & Outlook
Live Nation expects 2025 to be its strongest year yet, with full-year fan attendance tracking toward approximately 160 million fans. The company is positioned for double-digit operating income and AOI growth in 2025, with management expecting this growth rate to compound over the next several years. Fan growth is expected to accelerate in Q4 driven by increased arena, theater, and club activity. Concerts margins are expected to be consistent with 2024. Ticketmaster and Sponsorship full-year margins are expected to be similar to 2024, with Sponsorship AOI growth expected to accelerate in Q4. Operating cash flow and free cash flow-adjusted are on track for double-digit growth. Full-year capital expenditures are expected to be approximately $1 billion, with $750 million focused on venue expansion. Annual interest expense is expected at approximately $350 million with weighted average cost of debt of 4.2%. Leading indicators for 2026 are strong: large venue show pipeline up double-digits, 26 million tickets already sold for 2026 concerts (up double-digits), and sponsorship commitments up double-digits with approximately 65% booked.
