Salesforce Retreats 2% on $5.66B Deal for Braze, Even as ServiceNow and Adobe Gain 2%
Salesforce just agreed to spend billions in cash on a customer engagement platform, and the market is not applauding. Find out why rivals are rising while Salesforce takes the hit and whether the strategic bet on Marketing Cloud justifies the…
A large all-cash acquisition is weighing on one of the biggest names in enterprise software. Salesforce (NYSE:CRM | CRM Price Prediction) stock is down 2% to $238.57 in morning trading after the company agreed to buy a customer engagement platform.
Braze (NASDAQ:BRZE) is the Salesforce target, a company that helps consumer brands send personalized messages across channels in real time. Under the terms Salesforce announced, the agreement carries an enterprise value of $5.66 billion, with the full amount payable in cash. Approval from Braze shareholders and regulators is still required, and Salesforce made no change to its current fiscal-year guidance.
That cash spending is the core of the trade-off for Salesforce, set against the boost Braze could give Marketing Cloud, while rival software stocks are mostly holding up, which points to a selloff aimed at Salesforce stock.
Braze Deal Targets Marketing Cloud Personalization
Salesforce expects Braze to strengthen cross-channel personalization inside Marketing Cloud. The company also sees the platform complementing its data and Agentforce products, which anchor its push to build AI agents into every part of its software. Marketing Cloud is the piece of Salesforce’s lineup that stands to change most directly.
Patrick Stokes, Salesforce’s president of applications and marketing, stated that Braze was built to turn live customer behavior into personalized engagement at scale. That description lines up with Salesforce’s customer relationship management software, which gains real-time messaging tools built for consumer brands through the deal.
Braze runs its own BrazeAI suite for AI-powered decisioning and customer journey orchestration. Its technology partnerships with AWS, Snowflake and Databricks could give Salesforce more ways to connect with the data systems its customers already use. Those links matter because Salesforce has framed data as the foundation for its AI products.
Customers on the Braze platform span media and entertainment, financial services, retail and technology. This consumer-facing mix gives Salesforce a deeper foothold with brands that need to reach shoppers and subscribers the moment they engage.
Cash Outlay Weighs on Salesforce
Funding a deal of this scale entirely in cash ties up resources Salesforce could otherwise direct elsewhere, and folding a separate platform into Marketing Cloud adds execution risk that typically extends well past closing.
Supporters of the deal can point to the strategic fit for Salesforce. Braze gives Marketing Cloud a purpose-built engine for real-time engagement, and the same guidance means the purchase doesn’t alter management’s current fiscal-year outlook.
Rival Software Names Hold Steady
Even as CRM stock slips, ServiceNow (NYSE:NOW) stock is up 2% to $148.10. Furthermore, Adobe (NASDAQ:ADBE) stock is up 2% to $252.47.
The business overlap with Salesforce differs for Adobe and ServiceNow. Marketing software is where Adobe competes with Salesforce, putting it closest to the territory Braze covers. Workflow automation software is ServiceNow’s business, which sits further from the marketing fight.
For a sector read against Salesforce, the iShares Expanded Tech-Software Sector ETF (CBOE:IGV) is down 0.3% to $105.65. Large-cap tech is a touch softer as well, with a NASDAQ 100 tracking fund down 0.5% to $715.16. A modest dip in the software fund next to the sharper drop in Salesforce stock marks the selloff as specific to the company.
Braze Approval Is the Next Hurdle
Investors are now watching whether regulators clear the Braze deal on schedule. Braze shareholders must also approve the agreement before it can close, and any delay in either review could keep pressure on Salesforce stock.
Until the deal closes and integration progress is visible, Salesforce stock investors should keep their positions moderate. Steady rival software stocks point to deal-specific risk rather than a sector problem, which supports a conservative approach to adding shares.
