Marvell Is in Talks to Buy an $83 Billion AI Laser Maker
Marvell is closing in on a deal that would hand it control of the light sources powering AI data centers, but the buyer's stock dropped sharply after hours while the target surged, and a $2 billion NVIDIA stake in the…
On October 28, 2026, the two companies in one rumored deal moved in opposite directions after the close. Lumentum Holdings (NASDAQ:LITE | LITE Price Prediction) rose to $992.91 at 7:59 p.m. ET, up 8.64%. Marvell Technology (NASDAQ:MRVL) fell to $230.40, down 8.44%.
Bloomberg News reported that Marvell is in advanced talks to acquire Lumentum. Bloomberg News put Lumentum’s value at about $83 billion and Marvell’s at roughly $221 billion, and said an agreement could be announced soon.
Both stocks had closed higher in regular trading. Lumentum ended at $913.95, up 5.52%, and Marvell ended at $251.65, up 3.32%. The after-hours split shows investors pricing in a premium for the target and dilution, debt, or overpayment risk for the buyer.
Nothing has been signed. Neither company has confirmed the talks or filed an 8-K about them, and no price, premium, or cash-and-stock mix has been reported.
Lumentum’s market value closed at $82.79 billion, and a takeover normally adds a premium on top of that. The “laser maker” label is shorthand, because Lumentum also sells transceivers and optical circuit switches.
Why Marvell Wants Lumentum’s Light Sources
AI clusters need GPUs to move data faster and farther than copper wiring can carry it, so data center builders are switching to optical links (we featured seven of the suppliers behind that expansion, from power to cooling to networking, in a free report here). Lumentum’s fiscal fourth-quarter 2026 revenue rose 109.3% to $1.006 billion, and full-year revenue climbed 83.2% to $3.01 billion.
Lumentum Holdings guided fiscal first-quarter 2027 revenue to $1.225 billion to $1.275 billion. Its chief executive said the company “is positioned at the heart of a secular industry shift.”
In December 2025, Marvell agreed to buy photonics startup Celestial AI for $3.25 billion in cash and stock, rising to $5.5 billion if milestones are met. Adding Lumentum’s lasers would put custom silicon, photonic fabric and light sources in one company, and the two companies already showed joint products at OFC 2026.
Marvell Holders Would Fund the Premium
Marvell had about $3.92 billion in cash at the end of its latest quarter, so a deal would need stock, debt or both. A deal this size would likely require additional financing and could bring integration problems.
Marvell stock is up 196.62% year to date, which makes its shares a stronger currency for an acquisition. However, Lumentum is up 147.96% over the same stretch, so Marvell would be paying a premium for a stock that has already climbed sharply.
Marvell Technology recently raised its fiscal 2028 revenue forecast to $20 billion from $15 billion. Taking on a second large acquisition while Celestial AI is still being integrated puts that plan at risk.
NVIDIA’s Stake Could Unsettle Customers
On March 2, 2026, Lumentum sold NVIDIA (NASDAQ:NVDA) 2,876,415 Series A convertible preferred shares at $695.31 each, for $2 billion. They convert one-for-one after the Hart-Scott-Rodino antitrust waiting period ends, or automatically just before a qualified sale.
On the same day, NVIDIA put another $2 billion into Lumentum’s rival Coherent (NYSE:COHR). Hyperscalers and NVIDIA may be reluctant to depend on an optics supplier owned by a chip rival, and regulators will likely review a deal this size closely.
What Could Move Marvell and Lumentum Next
Marvell carries more risk than Lumentum until the terms are public. The buyer takes on the undisclosed premium, the financing, and the integration work, while returns from co-packaged optics (lasers placed beside the chip) are tied to a 2028 ramp.
Coherent could benefit from the uncertainty. It competes in AI lasers and transceivers, has NVIDIA’s backing, and could win orders from customers who are wary of a Marvell-owned supplier.
If the talks collapse, Lumentum’s after-hours gain will likely fade. Lumentum is expected to report results on November 5, although the company has not confirmed that date.
The thing to look for is a signed agreement filed on an 8-K. If Marvell gets back above its $251.65 close after the terms come out, the market has accepted the price, and this view is wrong.
