About Cipher Digital

Cipher Digital Inc. (NASDAQ: CIFR), operating as Cipher, develops, owns and operates industrial-scale data centers purpose-built for high-performance computing (HPC) and AI workloads. Its business model covers the full development cycle: originating land and power, designing and building infrastructure, financing projects at the project level, and owning and operating facilities under long-term colocation leases with hyperscalers and AI labs. Project equity is later recycled into new development.

Contracted HPC portfolio (700 MW gross, about $16.6 billion of contracted revenue, 17.3-year weighted average lease term):
- Barber Lake: 300 MW, 20-year modified gross lease with a leading AI lab and high investment-grade support.
- Black Pearl: 300 MW, 15-year triple-net lease with a high investment-grade hyperscaler; first HPC lease revenue recognized in Q3 2026.
- Stingray: 100 MW, 15-year triple-net lease with a high investment-grade hyperscaler.

The company also runs a legacy bitcoin mining operation at its 207 MW Odessa, Texas site, with about 11.6 EH/s of hashrate and a fixed-price power purchase agreement. It is in active discussions to monetize the site for HPC.

Its development pipeline totals about 5.9 GW across Texas sites. This includes about 3.4 GW of grid capacity subject to ERCOT's batch process (Colchis, Mikeska, Apollo, McLennan, Stingray Phase II, Reveille, Ulysses and Horizon). It also includes up to 2.5 GW of potential on-site gas-fired generation enabled by lateral pipelines under development. Projects are financed through project-level senior secured notes and corporate convertible notes. Updated
