In a 13D filing after the close on Gaiam Inc. (Nasdaq: GAIA), 22.2% holder Prentice Capital Management disclosed they changed their filing status from 13G to 13D as a result of a lower share count from the company, which boosted their stake above 20%. (NOTE: 20% holders can not file 13G)

The firm does not have any present plan or proposal that would relate to, or result in, any of the matters set forth in subparagraphs (a) – (j) of Item 4 of Schedule 13D.
