Tesla Bears Are Falling Off But Not Because Tesla’s Improving
Tesla short sellers are retreating, but the reason has nothing to do with the company fixing its collapsing margins or surging profits. A single rumor reshuffled the entire bearish case overnight, and now the stock sits exactly at Wall Street's…
Tesla (NASDAQ:TSLA | TSLA Price Prediction) is a Hold at $407.46, a price shaped more by SpaceX merger speculation than by any turn in the underlying business. The stock gained 9.03% over the past week as merger talk drove skeptics to the sidelines.
Tesla sells EVs, energy storage and software, and it is spending heavily to become an autonomy and robotics company. Third-quarter revenue came in at $28.05 billion, roughly flat year over year, while operating income fell 55.79%. The rally came after Barclays upgraded the stock to Overweight from Equal Weight, citing a potential merger with SpaceX. Around the same time, reports that the two companies “have formed committees to discuss merger” spread widely. A possible takeover premium complicates the bearish case. Only 2 Sell and 2 Strong Sell ratings remain.
SpaceX Optionality and a Four-Year-High Backlog Power the Bull Case
Bulls see two ways to win. A SpaceX deal would build on Tesla’s existing $2B investment in SpaceX equity. Meanwhile, the core business shows real demand. Tesla ended the quarter with its “highest backlog in four years” after delivering 486,532 vehicles. Active FSD subscriptions rose to 1.74 million from 1.04 million.
The balance sheet holds $45.45 billion in cash. Elon Musk said Tesla is “almost sold out of all Megapacks for 2027,” and the CFO expects Robotaxi to become a significant part of the business in 2027.
A 430x Earnings Multiple Rests on Unproven Products
Bears point to the valuation. Tesla trades at 430x trailing earnings, 133x forward earnings and 128x EV-to-EBITDA. Free cash flow dropped 61.63% to $1.53B as capex rose 110.5%. Management guided to roughly $20 billion of capex this year, and Musk said Terafab spending will “probably be north of $100 billion” over the long term.
Margin gains also leaned on mix. Management credited the sequential gain in automotive margin primarily to a higher APAC delivery mix. Tesla has issued no official release about a merger, and Reddit sentiment moved from bearish to neutral on the back of speculative posts. A rally built on a rumor can reverse just as quickly.
Merger Chatter Buys Time While the Spending Plays Out
Hold ratings make up the largest group, at 21. Over the next three quarters, several catalysts could settle the debate. Musk expects EU-wide FSD approval and said “I would be surprised if it takes longer than Q1.” Customer Model Y vehicles could start joining the Robotaxi fleet around Q2 of next year, and AI5 integration into Optimus is targeted for around April. A formal merger announcement would change the picture right away.
Shares Already Sit at Wall Street’s Average Target
At $407.46, Tesla trades just below the consensus target of $409.27, meaning 0.44% upside across 44 analysts. Price targets are estimates and can be wrong, so treat this as one data point among several. The ratings break down as follows:
- Strong Buy: 4
- Buy: 15
- Hold: 21
- Sell: 2
- Strong Sell: 2
Over the past month, Tesla rose 9.5% while the S&P 500 fell 0.21%. Year to date, Tesla is down 9.4%, compared with a 12.87% gain for the index. The options market tends bullish, with a full-chain put/call ratio of 0.69.
Tesla Is a Hold Until the Merger or the Margins Deliver
At $407.46, Tesla is a Hold.
The bears are backing away because a takeover premium could appear at any time, and the fundamentals have little to do with it. That rumor may support the stock for now. It does nothing to fix falling operating income or a capex budget that keeps growing.
An upgrade to Buy would require a signed SpaceX deal on clear terms, or steady operating margin gains alongside growing Robotaxi revenue. A downgrade to Sell would follow if merger talks collapse or free cash flow turns negative again, as it did in Q2 2026. Watch each earnings report for FSD revenue disclosure, operating expenses and Robotaxi unit economics.
With the stock already at the consensus target, the current price reflects a rumor-driven premium for profits that have not yet arrived.
