An XRP Treasury Company Is One Vote Away from Nasdaq: What Happens if Evernorth Lists as XRPN?

A shareholder vote could bring nearly half a billion XRP tokens onto Nasdaq under a single corporate ticker, but the real question is whether this benefits XRP holders or simply rewards the insiders who contributed most of the tokens.

On September 30, 2026, shareholders of Armada Acquisition Corp. II (NASDAQ:AACI) will vote on a merger that would bring Evernorth, a company designed to hold XRP (CRYPTO:XRP), onto Nasdaq. If Evernorth successfully lists as XRPN, it would involve at least 473 million XRP, valued at around $710 million, becoming part of a Nasdaq-traded stock.

Currently, XRP is trading near $1.50, up about 7% in the last 30 days, yet it remains about 59% below its all-time high of $3.65 reached in July 2025. If Evernorth lists as XRPN, the question is whether XRP will attract a new buyer or whether the gains will largely benefit Evernorth’s shareholders.

Evernorth Would Bring at Least 473 Million XRP to Nasdaq

Armada is classified as a SPAC, or special purpose acquisition company. This means it lists on an exchange with investor cash and initially has no operational business of its own. Instead, it merges with a private company. Evernorth chose this SPAC route instead of pursuing a traditional initial public offering (IPO) and expects to complete the merger soon after the vote.

Evernorth’s model resembles Strategy’s (NASDAQ:MSTR), which has built a substantial Bitcoin treasury (CRYPTO:BTC). Strategy holds 846,000 BTC, worth about $72 billion, representing roughly 4% of all Bitcoin that will ever be mined. Similarly, Evernorth aims to increase the amount of XRP held per share through further purchases and by earning yield from lending its tokens.

However, Evernorth acquired only about 84 million XRP through open-market purchases at an average price of $2.53 per token, totaling $214 million. Presently, those tokens have decreased in value by approximately 41%. The majority of the remaining XRP came from contributions, including about 211 million XRP from sponsor Arrington Capital and 127 million from Ripple. This means most XRPN tokens originate from insiders rather than exchange sellers.

Evernorth’s backers encompass notable names such as Ripple, SBI Group, Pantera Capital, Kraken, GSR, and Arrington Capital. Ripple has the closest ties to XRP, while Kraken profits from XRP trading, suggesting several stakeholders have a vested interest in any uptick in XRP activity.

Evernorth’s $242 Million Could Buy Only 0.26% of XRP’s Supply

As of August 20, Armada held about $242 million in its trust. Shareholders could redeem their investments until September 28. If Evernorth used its entire $242 million to buy XRP at the current price of $1.50, it could acquire about 161 million tokens. This represents merely 0.26% of the 62.9 billion XRP in circulation, which has a market value of nearly $94 billion.

Moreover, a treasury company typically continues buying as long as it can issue new stock. For instance, while Strategy significantly expanded its Bitcoin holdings over the years through share sales, it also sold 1,690 BTC in August. This means Evernorth could reverse its buying strategy if its shares perform poorly or if it requires cash.

The yield plan introduces another complication. When Evernorth lends out its tokens, borrowers might sell those XRP in the market, undermining any claim that holding a treasury restricts supply.

Additionally, Ripple controls an escrow that releases up to 1 billion XRP on the first of each month, though it typically locks most of that back up. So Ripple continues to manage a steady source of XRP supply even while a new corporate entity holds a portion of it.

XRPN Could Compete With XRP ETFs for the Same Investors

Funds that cannot hold cryptocurrency directly may instead buy shares in XRPN. However, trading XRPN on Nasdaq merely shifts shares among investors, and the money reaches XRP only if Evernorth issues new shares and uses the proceeds to buy more tokens.

Investors have alternatives as well. U.S. spot XRP ETFs have collectively attracted around $1.75 billion since their inception, with each ETF buying XRP when new shares are created. XRPN adds a management team, a lending strategy, and future stock offerings on top of XRP’s value, which may cause its shares to trade above or below the value of the XRP it holds.

Evernorth’s proposal includes no mention of banks, exchanges, or payment firms that intend to utilize XRP for transactions. Thus, while the listing adds a corporate holder, it doesn’t introduce any new use cases for XRP in terms of payment systems.

What Happens to XRP After the Evernorth XRPN Listing?

If Evernorth lists as XRPN, XRP will gain a Nasdaq-listed entity holding at least 473 million tokens, but there likely won’t be an immediate influx of new buying. Since most of these tokens came from insiders, and Evernorth’s available cash could buy less than 0.3% of the total XRP supply if no shareholders redeem, the listing primarily benefits Evernorth’s shareholders and Armada’s sponsors.

So, what happens to XRP after the Evernorth XRPN listing? Any significant positive impact on XRP’s value may be minimal unless Evernorth’s 8-K filings—required updates to the SEC regarding significant events—indicate new share sales that would fund new XRP purchases. If these filings focus only on lending or XRP sales, XRPN may simply emerge as another crypto stock with limited influence on XRP’s price, currently near $1.50.
