Rocket Lab Jumps 6% as FCC Clears First Hurdle on Iridium Deal; Iridium Communications Barely Budges
The FCC just handed Rocket Lab a procedural win on its Iridium acquisition, but the stock's 18% slide over the past month and a rival already flagging concerns inside the docket suggest the hard part is still ahead.

Rocket Lab (NASDAQ:RKLB | RKLB Price Prediction) shares are rallying after a first-step regulatory clearance on its planned acquisition, while the target, Iridium Communications (NASDAQ:IRDM), is barely moving on the same news. The Federal Communications Commission (FCC) accepted the license-transfer applications for filing, opening a public-comment period on the proposed acquisition. The step isn’t an approval of the deal; it removes an early risk that the process could stall.
The ARK Space Exploration & Innovation ETF (CBOE:ARKX), which holds Rocket Lab as a top position, is up 2% to $32.34, while the SPDR S&P 500 ETF Trust (NYSEARCA:SPY) is up 1% to $762.36. Space names are outpacing the broad tape.
In Thursday afternoon trading, Rocket Lab shares are up 6% to $67.66, though Rocket Lab stock is down 18% over the past month. Meanwhile, Iridium Communications stock is up 0.2% to $47.36, essentially anchored despite the same catalyst driving Rocket Lab higher.
FCC Filing Acceptance Opens Public Comment
The FCC action isn’t an approval. It’s an acceptance that starts a public-comment window on transferring Iridium Communications’ licenses to Rocket Lab, removing an early risk that the review could stall before formal input from third parties began.
SpaceX (NASDAQ:SPCX) asked the FCC to examine Iridium Communications’ conduct toward rival satellite operators, while stating that it does not oppose the acquisition itself. That type of comment doesn’t block the deal, but it puts a competitor on record inside the review Rocket Lab now has to work through. The presence of a rival in the docket is a factor Rocket Lab will need to manage.
Separately, Rocket Lab said it raised $1.94 billion in an equity sale, which together with existing liquidity and an amended term loan at Iridium Communications let Rocket Lab terminate its bridge facility. That closes the financing question for Rocket Lab and leaves the transaction dependent on the shareholder vote and the regulators, taking the financing overhang off the table.
Iridium Communications holders receive cash plus Rocket Lab shares that vary with Rocket Lab’s share price at close. The variable share component absorbs part of the acquirer’s move, which is why Rocket Lab stock climbing while Iridium Communications shares sit still reflects the deal mechanics.
The transaction placed a $6 billion equity value on Iridium Communications when announced, according to Rocket Lab. The market is treating those terms as the anchor on Iridium Communications rather than reading Thursday as fresh news about standalone value.
Bull Case and the Equity Cost for Rocket Lab
The bull case is that owning Iridium Communications turns Rocket Lab into a company that operates a constellation and bills subscribers, adding recurring revenue the market tends to reward with a higher multiple.
Rocket Lab’s complication is that it paid for the optionality with equity. Rocket Lab stock’s 18% one-month decline shows the market wasn’t thrilled about dilution heading into this week. Rocket Lab still has a shareholder vote ahead, a public-comment window in which a competitor has flagged concerns, and a close targeted for the middle of next year. The plain read is that Rocket Lab stock bounced because the deal survived its first procedural test, removing a risk rather than adding a business.
Rocket Lab’s 6% gain on a procedural clearance is meaningful but comes after a month in which Rocket Lab stock lost 18%. Rocket Lab holding this level depends less on Thursday’s headline and more on what emerges from the comment window.
What to Watch Next
Investors can watch for further FCC docket entries and filings from rival operators during the public-comment window. Whether SpaceX’s concerns broaden or stay narrow is the near-term signal for Rocket Lab. A quiet docket would support the market’s read of Thursday.
Given Rocket Lab stock’s history of large swings and its past-month drawdown, holders should size their exposure to the volatility Rocket Lab shares have already shown, not to Thursday’s bounce. Traders may want to keep an eye on whether Rocket Lab shares hold their gains through the close, since procedural wins can fade once the initial reaction runs its course.
