Rocket Lab Rises 3% on Iridium Deal Optimism; SpaceX and AST SpaceMobile Slip 1%
Rocket Lab just closed a billion-dollar equity offering to fund its massive Iridium acquisition, but the financing solution comes with a trade-off that shareholders cannot ignore.
Rocket Lab Corporation (NASDAQ:RKLB | RKLB Price Prediction) stock is rising 3% to $64.14 in Tuesday morning trading as investors respond to progress on the company’s planned acquisition of Iridium Communications. Rocket Lab completed a $1.944 billion at-the-market equity offering, giving Rocket Lab enough financing to cover the cash portion of the roughly $8 billion transaction and related costs.
The move comes against a mixed backdrop for space stocks, with AST SpaceMobile (NASDAQ:ASTS) stock down 1% to $59.67 and SpaceX (NASDAQ:SPCX) stock slipping 1% to $146.19. The Procure Space ETF (NASDAQ:UFO) is unchanged at $43.01, while the SPDR S&P 500 ETF Trust (NYSE ARCA:SPY) is down 0.23% to $759.16, leaving Rocket Lab stock as a relative outperformer.
Rocket Lab Removes A Major Financing Question
Rocket Lab’s completed equity offering raised $1.944 billion through the sale of 29.3 million shares, providing a substantial portion of the cash needed for the Iridium transaction. Rocket Lab also amended Iridium’s existing $1.775 billion term-loan facility and terminated a previously arranged $3.6 billion bridge financing commitment.
Rocket Lab’s financing progress could ease one of the biggest uncertainties surrounding the acquisition because the transaction no longer depends on the same bridge-loan structure announced when the deal was unveiled. Rocket Lab still faces regulatory approvals, and the acquisition isn’t expected to close until mid-2027.
The Iridium Deal Could Change The Growth Profile
Rocket Lab’s proposed acquisition of Iridium would add a large satellite communications business to Rocket Lab’s existing launch, spacecraft and satellite-component operations. Rocket Lab has described the transaction as a way to create a more vertically integrated space company, with Iridium adding recurring communications revenue to Rocket Lab’s faster-growing launch and space-systems businesses.
The bullish case for Rocket Lab stock is therefore broader than the financing announcement itself, since Rocket Lab could gain a larger and more diversified revenue base if the acquisition closes. Rocket Lab could also benefit from combining its spacecraft and launch capabilities with Iridium’s established satellite network, potentially giving Rocket Lab a stronger position across several parts of the space industry.
Dilution And Execution Risks Remain
Rocket Lab’s financing solution also creates a clear trade-off for shareholders because the ATM offering added 29.3 million shares to the company’s share count. Rocket Lab stock could therefore remain sensitive to concerns about dilution, particularly if investors question whether the long-term benefits of Iridium will justify the acquisition’s cost.
Rocket Lab also has to execute a complicated transaction while continuing to develop its Neutron rocket and expand its existing space business. Investors may want to watch for whether Rocket Lab maintains strong operational growth while integrating Iridium, since the acquisition could initially dilute Rocket Lab’s faster organic growth rate even as it expands the company’s overall revenue base.
A More Compelling Story, With Caveats
The bullish argument is that Rocket Lab has removed a significant financing obstacle while potentially adding a more established and recurring revenue stream through Iridium. Rocket Lab stock could benefit further if the acquisition receives the necessary approvals and the combined business produces the growth and cash flow that investors currently expect.
However, Rocket Lab stock remains a relatively volatile way to gain exposure to the space industry, and the acquisition won’t eliminate execution or dilution risks.
