Pure Storage Sets Terms for IPO

Pure Storage has filed an amended S-1 form with the U.S. Securities and Exchange Commission (SEC) regarding its initial public offering (IPO). The company expects to price 25 million shares within the range of $16 to $18, with an overallotment option for an additional 3.75 million shares. At the maximum price, the entire offering is valued up to $517.5 million. The company intends to list on the New York Stock Exchange under the symbol PSTG.Source: Thinkstock
The underwriters for the offering are Morgan Stanley, Goldman Sachs, Barclays, Allen & Co., Pacific Crest, Stifel, Raymond James and Evercore.
The rights of the holders of Class A common stock and Class B common stock are identical, except for voting and conversion. Each Class A share has one vote, while each Class B share is entitled to 10 votes. Class B shares can also be converted into one share of Class A common stock.

Also, just over 50% of the voting power in Class B shares is tied up with three venture capital firms: Greylock, Sutter Hill Ventures and Redpoint Ventures. The company said of itself:
